INTERGOVERNMENTAL AGREEMENT <br /> REGARDING VEHICLES MANUFACTURED <br /> BY PIERCE MANUFACTURING,INC. <br /> WHEREAS, Pierce Manufacturing, Inc. manufactures vehicles for use by Fire <br /> Departments; and <br /> WHEREAS, vehicles manufactured by Pierce Manufacturing, Inc. have been <br /> sold and distributed to various units of local government hereinafter described by Global <br /> Fire Equipment,Inc.;and <br /> WHEREAS, each of the units of local government described herein have <br /> experienced corrosion and rust on the frames, chassis, and other portions of the fire <br /> vehicles purchased from Global Fire Equipment, Inc. and manufactured by Pierce <br /> Manufacturing, Inc., resulting in damage to said vehicles and in some cases, a <br /> termination of use of said vehicles;and <br /> WHEREAS,the units of local government described herein desire to pursue any <br /> and all claims they may have as a result of damage suffered due to corrosion and rusting <br /> of fire vehicles manufactured by Pierce Manufacturing, Inc. and sold and distributed by <br /> Global Fire Equipment, Inc.;and <br /> WHEREAS,each party hereto has authority,pursuant to the Illinois Constitution, <br /> Article VII, Section 10 and Illinois law to associate with one another for the purpose of <br /> pursuing common claims against Pierce Manufacturing, Inc. and Global Fire Equipment, <br /> Inc., and to otherwise pursue remedies against said entities or any other entities <br /> responsible for damages suffered by any unit of local government described herein;and <br /> WHEREAS, the parties hereto desire to associate for the purpose of engaging <br /> professionals, including, but not limited to legal counsel, and technical experts with <br /> specialized competence in evaluating the legal and technical issues involved in pursuing <br /> claims against responsible parties and remedies as allowed by law. <br /> NOW, THEREFORE in consideration of the mutual promises and other good <br /> and valuable considerations set forth in this Agreement,the parties agree as follows: <br /> Section 1. In General. The purpose of this Agreement is to provide for the <br /> participants' ability to effectively present claims to responsible parties and pursue <br /> remedies against responsible parties as allowed by law, including, but not limited to, <br /> initiating appropriate legal action in order to address damages sustained by participants <br /> specifically described in the Preamble of this Agreement. <br /> Section Z. Original Members. The CITY OF CHAMPAIGN, ILLNOIS <br /> ("Champaign"), the CITY OF DECATUR, ILLNOIS ("Decatur"), the TOWN OF <br /> NORMAL, ILLINOIS, ('Normal"), the CITY OF PEORIA, ILLNOIS ("Peoria"), the <br /> CITY OF CHARLESTON ("Charleston"), CITY OF DANVILLE ("Danville") and the <br /> 1 <br />
