Amendment between <br /> Superion LLC <br /> City of Decatur, IL & <br /> Central Illinois Regional Dispatch Center(CIRDC), IL <br /> This Amendment amends the Contract and Agreement between Superion, LLC successors to <br /> SunGard Public Sector Inc.("Superion")and City of Decatur,IL("Decatur"),dated October 24, 2011, <br /> with any amendments and supplements thereto (together herein referred to as "City of Decatur <br /> Agreement"): <br /> This Amendment also amends the Order between Superion, LLC and Central Illinois Regional <br /> =Dispatch Center (CIRBC), IL ("CIRDC"), with any amendments,and supplements thereto (together <br /> herein referred to as"Macon County Agreement"): <br /> The above-referenced agreements are collectively referred to herein as the"Agreements". <br /> This Amendment is effective when signed by an authorized representative of all parties. <br /> WHEREAS, Decatur licensed certain programs(the"Licensed Programs")from Superion;and <br /> WHEREAS, Decatur desires to transfer the Licensed Programs(and associated payment of Annual <br /> Maintenance)to CIRDC;and <br /> WHEREAS, the Agreements provide that they cannot be changed without the written agreement of <br /> the parties;and <br /> NOW THEREFORE, in consideration of the mutual obligation, promises and covenants set forth in <br /> this Amendment,the parties hereto agree as follows: <br /> 1. Incorporation within Agreements: This Amendment shall be incorporated in the parties' <br /> respective Agreements as if fully set forth therein and shall for all intents and purposes be a part of the <br /> respective Agreements. <br /> 2. Transfer of Applications: The Licensed Programs are hereby transferred to CIRDC effective <br /> as of the Effective Date shown below. Decatur shall not be responsible for support payments due for the <br /> Annual Support period commencing as of the Effective Date identified below, and CIRDC agrees to pay <br /> support payments due for the Annual Support period commencing as of the Effective Date identified below. <br /> I <br /> Amendment 1 of 2 <br />
