Agreement No.17 751 04201 <br /> REQUIRED REPRESENTATIONS <br /> 1.7. Standing and Authority.Grantee warrants that: <br /> (a) Grantee is validly existing and in good standing,if applicable,under the laws of the State <br /> in which it was incorporated,organized or created. <br /> (b) Grantee has the requisite power and authority to execute and deliver this Agreement <br /> and all documents to be executed by it in connection with this Agreement,to perform its obligations <br /> hereunder and to consummate the transactions contemplated hereby. <br /> (c) If Grantee is an agency under the laws of jurisdiction other than Illinois,Grantee <br /> warrants that it is also duly qualified to do business in Illinois and is in good standing with the Illinois <br /> Secretary of State. <br /> (d) The execution and delivery of this Agreement,and the other documents to be executed <br /> by Grantee in connection with this Agreement,and the performance by Grantee of its obligations <br /> hereunder have been duly authorized by all necessary entity action. <br /> (e) This Agreement and all other documents related to this Agreement,including the <br /> Uniform Grant Application,the Exhibits and attachments to which Grantee is a party constitute the legal, <br /> valid and binding obligations of Grantee enforceable against Grantee in accordance with their respective <br /> terms. <br /> 1.8. Compliance with Internal Revenue Code.Grantee certifies that it does and will comply with all <br /> provisions of the Federal Internal Revenue Code(26 USC 1),the Illinois Revenue Act(35 ILCS 5),and all rules <br /> promulgated thereunder,including withholding provisions and timely deposits of employee taxes and <br /> unemployment insurance taxes. <br /> 1.9. Compliance with Federal Funding Accountability and Transparency Act of 2006.Grantee certifies <br /> that it does and will comply with the reporting requirements of the Federal Funding Accountability and <br /> Transparency Act of 2006(P.L.109-282)(FFATA)with respect to Federal Awards greater than or equal to$25,000. <br /> A FFATA sub-award report must be filed by the end of the month following the month in which the award was <br /> made. <br /> 1.10. Compliance with Uniform Grant Rules(2 CFR Part 200). Grantee certifies that it shall adhere to <br /> the applicable Uniform Administrative Requirements,Cost Principles,and Audit Requirements,which are <br /> published in Title 2,Part 200 of the Code of Federal Regulations,and are incorporated herein by reference. See 44 <br /> Ill.Admin.Code 7000.30(b)(1)(A). <br /> 1.11. Compliance with Registration Requirements.Grantee and its sub-grantees shall: (i)be registered <br /> with the Federal SAM;(ii)be in good standing with the Illinois Secretary of State,if applicable;and(iii)have a valid <br /> DUNS number. It is Grantee's responsibility to remain current with these registrations and requirements.If <br /> Grantee's status with regard to any of these requirements change,or the certifications made in and information <br /> provided in the Uniform Grant Application changes,Grantee must notify the Grantor in accordance with ARTICLE <br /> XVII. <br /> State of Illinois <br /> INTERGOVERNMENTAL GRANT AGREEMENT FISCAL YEAR 2018/3 15 17 <br /> Page 3 of 36 <br />
