E. The AWI will, when requests are submitted in a timely manner, provide to the City technical assistance, research, review, recommendations and public support for Lake Decatur watershed activities, including but not limited to watershed management planning and plans, nonpoint source pollution control, Heart of the Sangamon Ecosystem Partnership, Macon County Soil & Water Conservation District, public and private grants, City owned agricultural land, Lake Decatur dredging, sediment reuse, and other City requests. The City recognizes that some of these services may require additional AWI Board approval. 3. AWI agrees to meet at least twice during the term of this agreement with City staff to review AWI research and educational activities and discuss future directions and City priorities. 4. The AWI shall prepare and submit to the City every three months a detailed invoice and activities report of the AWI's expenditures to perform the terms of this Agreement for the previous three months. The invoice and report will be submitted to the City no later than 15 business days after the end of each three month period. Upon approval of each invoice by the City, prompt payment will be made to the AWI. An annual report including a financial and activities summary will be submitted to the City no later than 20 business days after the end of each calendar year. 5. The AWI shall permit the City to examine its books and records upon reasonable notice and during customary business hours. 6. It is understood and agreed by the parties that City financial support to AWI may be leveraged by including it as match and indirect support on current and future grant-funded projects. 7. This Agreement shall be governed by, construed and interpreted in accordance with the laws of the State of Illinois without reference to conflict of the laws principles. Neither of the parties may assign this Agreement without the prior written approval of the other party. 8. AWI shall maintain, during the term of this Agreement, the following insurance: a) Workers' Compensation in accordance with statutory requirements b) Employers' Liability Each accident $ 500,000 Disease, policy limit $ 500,000 Disease, each employee $ 500,000 c) General Liability Each occurrence (bodily injury and property damage) $1,000,000 General Aggregate $2,000,000 d) Excess or Umbrella Liability Each Occurrence $1,000,000 General Aggregate $1,000,000 3
