E. The AWI will, when requests are submitted in a timely manner, provide to the <br /> City technical assistance, research, review, recommendations and public support for <br /> Lake Decatur watershed activities, including but not limited to watershed <br /> management planning and plans, nonpoint source pollution control, Heart of the <br /> Sangamon Ecosystem Partnership, Macon County Soil & Water Conservation <br /> District, public and private grants, City owned agricultural land, Lake Decatur <br /> dredging, sediment reuse, and other City requests. The City recognizes that some of <br /> these services may require additional AWI Board approval. <br /> 3. AWI agrees to meet at least twice during the term of this agreement with City staff to review <br /> AWI research and educational activities and discuss future directions and City priorities. <br /> 4. The AWI shall prepare and submit to the City every three months a detailed invoice and <br /> activities report of the AWI's expenditures to perform the terms of this Agreement for the <br /> previous three months. The invoice and report will be submitted to the City no later than 15 <br /> business days after the end of each three month period. Upon approval of each invoice by <br /> the City, prompt payment will be made to the AWI. An annual report including a financial <br /> and activities summary will be submitted to the City no later than 20 business days after the <br /> end of each calendar year. <br /> 5. The AWI shall permit the City to examine its books and records upon reasonable notice and <br /> during customary business hours. <br /> 6. It is understood and agreed by the parties that City financial support to AWI may be <br /> leveraged by including it as match and indirect support on current and future grant-funded <br /> projects. <br /> 7. This Agreement shall be governed by, construed and interpreted in accordance with the <br /> laws of the State of Illinois without reference to conflict of the laws principles. Neither of the <br /> parties may assign this Agreement without the prior written approval of the other party. <br /> 8. AWI shall maintain, during the term of this Agreement, the following insurance: <br /> a) Workers' Compensation in accordance with statutory requirements <br /> b) Employers' Liability <br /> Each accident $ 500,000 <br /> Disease, policy limit $ 500,000 <br /> Disease, each employee $ 500,000 <br /> c) General Liability <br /> Each occurrence (bodily injury and property damage) $1,000,000 <br /> General Aggregate $2,000,000 <br /> d) Excess or Umbrella Liability <br /> Each Occurrence $1,000,000 <br /> General Aggregate $1,000,000 <br /> 3 <br />
