EXHIBIT A <br /> CONTRACT OF SALE <br /> THIS CONTRACT OF SALE ("Cantract") is by and between the CITY OF DECATUR, <br /> an II]inois municipal corporation ("Se11er"}, and the DECATUR MACON COITNTY <br /> OPPORTLJNITIES CC7RPORATION, an Illinois Not-for-Profit Cor�oration, 1122 E. <br /> MARIETTA ST., DECATUR, IL 62521, FEIN# 37-0$64527 (`Buyer"). <br /> WITNESSETH: <br /> Se11er agrees to se11 and Buyer agrees ta purchase on the terms and conditions hereinafter <br /> set forth, the unimproved real estate situated in Macon County, Illinois, described on Exhibit A <br /> attached hereto(the "Premises"). <br /> 1. Purchase Price. The purchase price for the Premises is Six Hundred Fifty {$b50} <br /> Dollars with purchase price for the praperty to be paid at clasing, subject to closing adjustments. <br /> 2. No Represer►tations. Seller has not made and does not rnake any representations, <br /> warranties or guarantees of any kind concerning the Premises or its condition or suitability for <br /> Buyer's proposed use, whether express or implied, aral or written. Buyer agrees that it is <br /> purchasing the Prernises"as is"with all faults and defects and based solely on Buyer's inspection, <br /> testing and investigation of the Premises. Buyer acknowledges that the disclaimers, agreements <br /> and other statements set forth in this section are an integral portion of this Contract and that Se11er <br /> would nat agree to sell the Premises to Buyer for the purchase price without the disclaimers, <br /> agreements and other statements set forth in this Paragraph 2 and that the disclaimers, agreements <br /> and other statements in this Paragraph 2 shall survive the closing of the sale under this Contract. <br /> 3. Canditions Precedent. <br /> (A} Seller's obligations under this Contract are subject to the follawing conditions: <br /> (1)Buyer prornptly commencing construction of structure to house a <br /> multipurpose agency to include a not-for-profit commercial kitchen for federally <br /> qualified senior nutrition pragrams, community services assisting 1ow-incame <br /> individuals working towards family stability, youth and senior services and <br /> assaciated uses, all af which serve at least 51%low-to-tnoderate income residents as <br /> defined by the U.S. Department of Housing and Urban Development, or with the <br /> prior written consent of the City, those uses, including but not limited ta social <br /> 2 <br />
