Department of Housing and Urban Development, or with the prior written consent of the City, <br /> those uses, including but not limited to social services and residential or institutional uses,that are <br /> consistent with the national CDBG objectives, which a�reement shall not be unreasonablv <br /> withheld and (b) that Buyer, its successors and assigns allow Seller or its designee, for the period <br /> of the use restriction, reasonable access to the Premises to monitor compliance with this <br /> requirement, shall survive the date of closing and shall be specifically enforceable by the Seller <br /> for not less than ten(10) years from the date of closing. <br /> 8. Bu�er's Access to the Premises. At any time after the effective date of this Contract, <br /> with advanced approval of Seller, architects and engineers of Buyer shall have reasonable access <br /> to the Premises during business hours for the purpose of ineasurement and preparation of design <br /> plans for Buyer.Buyer shall indemnify and hold Seller harmless from and against all losses,costs, <br /> damages and liabilities arising out of Buyer or any of its employees,agents or contractors entering <br /> the Premises. <br /> 9. Possession. Buyer shall take possession of the Premises on completion of the closing. <br /> 10. Buyer's Rig�ht to Terminate Within 60 davs after signing this contract, Buyer shall: <br /> a) conduct any necessary examinations inspections and tests of the Premises to determine the <br /> feasibility of proceedin�with construction and use of the intended improvements; and b.) if,based <br /> on the written opinion of Buyer's architects or en�ineers the Premises is not suitable for the <br /> intended construction and use notifv Seller of Buvers intent to terminate this Ag,reement. Upon <br /> timely notice and written opinion as described herein this A�reement shall terminate without <br /> further obli atg ion• <br /> 11. Actions Affecting the Premises. While this Contract is in effect, Seller shall not: <br /> (a) Enter into, or amend any contracts, options, leases, easements or other <br /> agreements adversely affecting the Premises; or <br /> (b)Take any action which would adversely affect the ownership or condition of the <br /> Premises. <br /> 12. Title Commitment.Buyer shall obtain a current title commitment for an owner's title <br /> insurance policy for the Premises at it sole expense. Buyer shall pay all title examination fees or <br /> other expenses of the Title Company for issuing such title commitment. <br /> 13. Environmental Concerns. Neither Buyer nor Seller has knowledge of anv <br /> environmental concerns on or about the Premises. Seller makes no representations or warranties <br /> 7 <br />
