ESCROW AGREEMENT This Escrow Agreement, dated as of , 2019, but actually executed on the date witnessed hereinbelow, by and between the City of Decatur, Macon County, Illinois (the "City"), and U.S. Bank National Association, a national bank having trust powers, organized and operating under the laws of the United States of America, located in Indianapolis, Indiana (the "Escrow Agent"), in consideration of the mutual promises and agreements herein set forth: WITNESSETH: ARTICLE I DEFINITIONS The following words and terms used in this Agreement shall have the following meanings unless the context or use clearly indicates another or different meaning: Section 1.01. "Agreement"means this Agreement between the City and the Escrow Agent. Section 1.02. "Bonds" means the $ Taxable General Obligation Refunding Bonds, Series 2019A, dated , 2019, authorized to be issued by the Bond Ordinance. Section 1.03. "Bond Ordinance" means the ordinance adopted on the 17th day of June, 2019, by the Council entitled: AN ORn1NANCE providing for the issuance of not to exceed $9,300,000 General Obligation Bonds of the City of Decatur,Macon County, Illinois,to finance one or more of the following: refunding certain outstanding bonds of said City,improving the Decatur Public Library and resurfacing and improving the Decatur Public Library parking lot;authorizing designated officials to sell said bonds by the execution of one or more notifications of sale;providing for the levy and collection of a direct annual tax sufficient to pay the principal and interest on said bonds and authorizing the sale of said bonds to the purchasers thereof;and further providing for the execution of an escrow agreement in connection with such issuance. authorizing the issuance of the Bonds. Section 1.04. "City"means the City of Decatur,Macon County, Illinois.
