C. �ntirety af Ag►•eement. This MC?U,consisting of twa(2)pages, <br /> represents the entire and integrated agreement between the parties and supersedes ali priar <br /> negotiations, �•epreser�tations and agreements,whett�er wrztten or oral. <br /> D. Se�Jerabitity. Should any portion of this MOU be judicially <br /> detern�ined to be iIlegal or t�nenforceable,the remainder of the MOU shall coniinue in full force <br /> and effect,and either party may renegotiate the terms affected by the se�erance. <br /> E. Sovereign Imnnunily. The City, its officers and emplayees do nat <br /> waive their sovereign immunity by entering into this MOU,and fully retains aIl immunit'tes and <br /> defenses provided by law with respect ta any action based on or occurring as a result of this <br /> MOU. <br /> F. Third �'ax-ty Bcneficiaty�ig�ts. The parties do nat intend to create <br /> in an�other individuaI or entity the status of a third party beneficiary, and this MOU shalI not be <br /> canstrued so as ta create such status. The rights,duties and obligations cgntainec�in this MOU <br /> shall operate only between the parties ta tl�zs MOU,and shall inure solely to the benefit of the <br /> parties to this MOU. The parties to this MQU intend <br /> and expxessly agree that anly parties signatory to this MQU shall have any legal or ec�uitable <br /> right to seek trs enforee this MUU,to seek any remedy arising out of a party's performance or <br /> faiture to perform any term ar condition of t.�is iM4U,or#o bring an actian for the breach of this <br /> MOU. <br /> G. Frecdom of In#'ormation. The City is an Illinais municipal corporation and <br /> as such is governed by the Illinois Freedom of Information Act and its provisions. AlI <br /> dacuments and recards in the possessifln of the City are subject to the Freedom of Informat.ion <br /> Act. Trilo�na recognizes and acknowledges that certain docurnents af the parties may be subject <br /> to disctosure pursuant to said Act and agrees to coaperate with the City ta ensure the City's <br /> compliance with said Act. <br /> 7.
