AGREEMENT <br /> THIS AGREEMENT is made by and between the CITY OF DECATUR, ILLINOIS, <br /> an Illinois municipal corporation ("City")and MUELLER CO. LLC ("Mueller"). The City and <br /> Mueller are hereinafter collectively referred to as the "Parties." <br /> WITNESSETH: <br /> WHEREAS, Mueller currently owns and operates manufacturing facilities including <br /> facilities located in the City of Decatur, Illinois which employ many persons; and <br /> WHEREAS, Mueller has obtained property identified as Parcel #1 on Exhibit A, <br /> (attached hereto and incorporated herein by reference) for the development and construction of a <br /> manufacturing facility ("Facility") to be constructed, owned and used by Mueller for their <br /> manufacturing purposes; and <br /> WHEREAS, the development and construction of the Facility is expected to create <br /> and/or retain job opportunities with Mueller within the City of Decatur, Illinois; and <br /> WHEREAS, Mueller requires the acquisition of an adjoining and adjacent parcel of <br /> land owned by the Norfolk-Southern Railroad identified as Parcel #2 on Exhibit A to provide for <br /> the development and construction of the above described facility; and <br /> WHEREAS, Parcel #1 and Parcel #2 as set forth in Exhibit A are vacant and <br /> undeveloped land and have been for many years; and <br /> WHEREAS, acyuisition of Parcel #2 as set forth in Exhibit A is necessary for the <br /> development and construction of the Facility and without this Agreement, the Project would <br /> likely not occur; and <br /> WHEREAS, the City wishes to assist in the acquisition of the Parcels for the <br /> development of the Facility; and <br /> WHEREAS, the acquisition of Parcel #1 and Parcel #2 as set forth in Exhibit A and <br /> construction of the Facility will strengthen the commercial concerns of the City and enhance the <br /> tax base of the municipality; and <br /> WHEREAS,the acquisition of the Parcels and construction of the Facility are in the <br /> best interest of the City. <br />
