is a prerequisite for making or entering this Agreement pursuant to Section 1352, <br /> Title 31, and U.S.C. Any person who fails to file the required certification shall be <br /> subject to a civil penalty of not less than $10,000 and not more than $100,000 for <br /> each such failure. <br /> XXVI. SEVERABILITY: If any provision of this Agreement is held invalid, the remainder of the <br /> Agreement shall not be affected thereby, and all other parts of this Agreement shall <br /> nevertheless be in full force and effect. <br /> XXVIL SECTION HEADINGS AND SUBHEADINGS:The section headings and subheadings contained <br /> in this Agreement are included for convenience only and shall not constitute°a waiver of <br /> such right or provision. <br /> XXVIII. ENTIRE AGREEMENT:This Agreement constitutes the entire agreement between the CITY <br /> and the SUB-RECIPIENT for the use of funds received under this Agreement and it <br /> supersedes all prior or contemporaneous communications and proposals, whether <br /> electronic, oral, or written between the CITY and SUBRECIPIENT with respect to this <br /> Agreement. <br /> XXIX. NOTICES: All notices, requests, demands and other communications which are required or <br /> permitted to be given under this Agreement shall be in writing and shall be deemed to have <br /> been duly given upon delivery, if delivered personally, or on the fifth (511) day after mailing <br /> if sent by registered or certified mail, return receipt requested, first-class postage prepaid, <br /> as set forth below.
