Agreement No.HS-21-0087,04.02 <br /> ARTICLE II <br /> REQUIRED REPRESENTATIONS <br /> 2.1 Standing and Authority. Grantee warrants that: <br /> (a) Grantee is validly existing and in good standing, if applicable, under the laws of the state in which it <br /> was incorporated, organized, or created. <br /> (b) Grantee has the requisite power and authority to execute and deliver this Agreement and all <br /> documents to be executed by it in connection with this Agreement,to perform its obligations hereunder and to <br /> consummate the transactions contemplated hereby. <br /> (c) If Grantee is an agency under the laws of jurisdiction other than Illinois, Grantee warrants that it is <br /> also duly qualified to do business in Illinois and is in good standing with the Illinois Secretary of State. <br /> (d) The execution and delivery of this Agreement,and the other documents to be executed by Grantee <br /> in connection with this Agreement,and the performance by Grantee of its obligations hereunder have been duly <br /> authorized by all necessary entity action. <br /> (e) This Agreement and all other documents related to this Agreement, including the Uniform Grant <br /> Application,the Exhibits and attachments to which Grantee is a party constitute the legal,valid and binding <br /> obligations of Grantee enforceable against Grantee in accordance with their respective terms. <br /> 2.2 Compliance with Internal Revenue Code. Grantee certifies that it does and will comply with all provisions of <br /> the federal Internal Revenue Code(26 USC 1),the Illinois Revenue Act(35 ILCS 5),and all rules promulgated <br /> thereunder, including withholding provisions and timely deposits of employee taxes and unemployment insurance taxes. <br /> 2.3 Compliance with Federal Funding Accountability and Trans ap rency Act of 2006. Grantee certifies that it does <br /> and will comply with the reporting requirements of the Federal Funding Accountability and Transparency Act of 2006(P.L. <br /> 109-282)(FFATA)with respect to Federal Awards greater than or equal to$25,000. A FFATA sub-award report must be <br /> filed by the end of the month following the month in which the award was made. <br /> 2.4 Compliance with Uniform Grant Rules(2 CFR Part 200). Grantee certifies that it shall adhere to the <br /> applicable Uniform Administrative Requirements, Cost Principles, and Audit Requirements,which are published in Title 2, <br /> Part 200 of the Code of Federal Regulations, and are incorporated herein by reference. See 44 Ill.Admin.Code <br /> 7000.40(c)(1)(A). <br /> 2.5 Compliance with Registration Requirements. Grantee shall:(i)be registered with the federal SAM; (ii)be in <br /> good standing with the Illinois Secretary of State, if applicable;(iii)have a valid DUNS Number;(iv)have a valid UEI, if <br /> applicable; (v)have successfully completed the annual registration and prequalification through the Grantee Portal. It is <br /> Grantee's responsibility to remain current with these registrations and requirements.
