i. Eligibility Files must include Social Security Numbers in addition to other data. <br /> ii. Not providing timely and complete data, including Social Security Numbers, may <br /> result in reduced Patient engagement and impaired billing procedures. <br /> b) Data Access: Client is responsible for providing the following data access: <br /> i. Access to at least 2 years of prior (historic) medical and pharmacy claims <br /> experience data and corresponding eligibility data. <br /> ii. Access to monthly data feeds of medical and pharmacy claims experience data and <br /> corresponding eligibility data throughout the term of the Agreement. <br /> c) Communications: <br /> i. Client shall provide the home mailing address, email address, and phone numbers <br /> for all of Client's adult Eligible Members. To avoid additional direct mailing costs, <br /> the Client is to provide email addresses for at least 90% of Eligible Members ages <br /> 18 and older. <br /> ii. Client shall implement Paladina's marketing campaign process, which delivers a <br /> time-based series of digital, print and other communications shown to maximize <br /> engagement of Eligible Members. The marketing campaign process allows for <br /> customization within a prescribed set of parameters. If the Client requires <br /> additional customization outside of those parameters, the Client is responsible for <br /> the additional marketing costs. <br /> iii. Client shall provide Eligible Members with information about the primary care <br /> center benefit through the annual benefits enrollment process. <br /> iv. To reduce disruption to communication, Client is to follow Paladina's Technology <br /> Compatibility Requirements of(attached at Exhibit H). <br /> V. Patients can manage their communication preferences, including opting out of <br /> various communications, directly with Paladina. <br /> 5. Financial Arrangement. <br /> 5.1 Financial Overview. In consideration of Paladina's responsibilities under this <br /> Agreement, Client shall pay to Paladina the amount described in Section 5.2 of this Agreement <br /> during the Initial Term and any Renewal Terms. Client shall also be responsible for the following <br /> expenses associated with the Paladina Clinic(collectively,"Other Expenses"): <br /> (a) Start-up and set-up costs; <br /> (b) Operation and maintenance expenses as described in Exhibit G; <br /> (c) Laboratory and pharmaceutical costs as described in Exhibit E; and <br /> (d) Other Expenses due under this Agreement shall be billed through separate <br /> invoices,which may be issued from Paladina or directly from a third-parry vendor. Such expenses <br /> shall become due and be paid as stated in the invoice. <br /> 5.2 The Fees. <br /> (a) Monthly Services Fee. Subject to the terms of this Section 5.2,Client shall <br /> pay to Paladina, effective on the Clinic Opening Date, a fee of$38.30 a month per each Member <br /> (the"Monthly Fee"). <br /> 9 <br />
