after the first day of each month. Upon approval of each invoice by the City, prompt payment <br /> will be made to the District. An annual report including a financial and activities summary will <br /> be submitted to the City no later than 20 business days after the end of each calendar year. <br /> 7. The District shall permit the City to examine its books and records upon reasonable notice <br /> and during customary business hours. <br /> 8. All documents and records in the possession of the District, sub-consultants, sub-contractors <br /> and any other person employed by the District, sub-consultants, or sub-contractors to perform <br /> a governmental function on the City of Decatur's behalf and directly related to the <br /> governmental function are subject to the Illinois Freedom of Information Act. The District shall <br /> agree to cooperate fully with the City to ensure the City's compliance with the Freedom of <br /> information Act and agrees to hold the City harmless and indemnify it for any failure to so <br /> comply. <br /> 9. This Agreement may be modified by written consent of both parties based on Lake Decatur <br /> Watershed Management Plan progress. This may include but is not limited to the award of <br /> grants or increased workload required for the Lake Decatur Watershed Management Plan. <br /> 10.The District shall indemnify and save harmless the City, its officers and employees against <br /> claims for damages to property or injuries to or death of any person or persons, including <br /> property and employees or agents of the City and including reasonable attorney's fees <br /> incurred by the City or required in any way to be paid by the City, in defense thereof, and <br /> shall indemnify and save harmless the City from all claims, demands, suits, actions or <br /> proceedings including Worker's Compensation claims, of or by anyone whomsoever, to the <br /> extent proximately caused or proximately arising out of negligent acts or omissions to act by <br /> District in connection with its performance of this contract, including operations of its <br /> subcontractors and negligent acts or omissions of employees or agents of the District or its <br /> subcontractors. <br /> The City shall indemnify and save harmless the District, its officers and employees against <br /> any and all claims for damages to property or injuries to or death of any person or persons, <br /> including property and employees or agents of the District and including reasonable attorney's <br /> fees incurred by the District or required in any way to be paid by the District, in defense <br /> thereof, and shall indemnify and save harmless the District from all claims, demands, suits, <br /> actions or proceedings including Worker's Compensation claims, of or by anyone <br /> whomsoever, proximately caused or proximately arising out of negligent acts or omissions to <br /> act by City in connection with its performance of this contract, including operations of its <br /> subcontractors and negligent acts or omissions of employees or agents of the City or its <br /> subcontractors. <br /> 11.This Agreement may be terminated without cause by either party subject to a 15 business <br /> day U.S. mail postage prepaid written notice and the right of the party being terminated to <br /> meet and discuss the termination with the other party before the termination takes place. <br /> 2 <br />
