11. MODIFICATIONS <br /> 11.1 This Agreement is not subject to modification except in writing, executed by duly authorized <br /> representatives of the parties. <br /> 12. SECTION HEADINGS <br /> 12.1 The descriptive headings of various sections of this Agreement are for convenience only and <br /> shall not control or affect the meaning or construction of any of the provisions hereof. <br /> 12.2 It is agreed between the Parties to incorporate by reference the preamble where-as clauses <br /> set forth above as if fully set forth herein, and each party agrees to be fully bound thereby. <br /> 13. LAWS GOVERNING AGREEMENT <br /> 13.1 It is agreed that the laws of the State of Illinois shall apply to this Agreement and to any <br /> dispute hereunder.
