of work at its sole cost, risk and expense, except as may otherwise be specifically provided <br /> for in this Agreement. The CITY, at its sole cost and expense, shall be solely responsible <br /> for securing any permits, rights, licenses, easements, permissions or other authority for the <br /> work reflected on Exhibits A, B, and C. <br /> 1.4. The CITY and the RAILROAD jointly shall be responsible for scheduling and coordinating the <br /> removal or relocation of the FACILITIES and any personal property belonging to the <br /> RAILROAD'S tenants, licensees, or others occupying the RAILROAD property by permission <br /> that are required to be removed or replaced to construct the PROJECT. Such removals and <br /> relocations shall be at the sole cost and expense of the CITY and shall be scheduled and <br /> coordinated to cause minimal interference to the operation of the RAILROAD. <br /> 1.5. Subsequent to the award of any contract or contracts by the PARTIES, and before any work <br /> is started on this project, a conference shall be held between the representatives of the CITY, <br /> the RAILROAD and the interested contractor(s), at a mutually convenient time and place, for <br /> the purpose of coordinating the work to be performed by the several parties, and at which time <br /> a schedule of operations will be adopted. Such schedule of operations will provide sufficient <br /> lead time for the parties to order and assemble their respective materials. <br /> 2. (RESERVED) <br /> 3. CONSTRUCTION <br /> 3.1 For any work that is to be performed by RAILROAD, the CITY hereby agrees to so <br /> reimburse RAILROAD upon receipt of bills. Cost and expense for work performed by the <br /> RAILROAD, as referred to herein, shall consist of the actual cost of labor, materials and <br /> related items, plus the RAILROAD's standard additives approved by the Federal Highway <br /> Administration and in effect at the time the work is performed. <br /> 3.2 It is recognized by the PARTIES that the safety and continuity of operations and traffic of <br /> both the RAILROAD and the CITY shall be of primary importance and shall at all times be <br /> protected and safeguarded. The CITY shall give thirty (30) days advance written notice to <br /> the Chief Engineer of the RAILROAD or his authorized representative prior to <br /> commencement of any construction work on the PROJECT affecting the FACILITIES or <br /> — 3 — <br />
