Section 6. A.A.C.G.S shall be required to maintain all required records for the period of
<br /> time designated by the City as required by the terms of the ARP Act and any other laws, statutes
<br /> and other related regulations including, but not limited to, financial records setting forth all
<br /> disbursements and payroll records, equipment records setting forth the details of all purchases and
<br /> other supply records.
<br /> Section 7. A.A.C.G.S agrees to provide regular reports to the City setting forth the use and
<br /> disbursement of the ARP funds provided pursuant to the terms of this Agreement.
<br /> Section 8. A.A.C.G.S agrees to provide all reports,which may be required by the City for
<br /> compliance with the ARP statute and any other federal or state law, statute or other regulation.
<br /> Section 9. A.A.C.G.S agrees that no person shall, on the grounds of race, color, religion,
<br /> national origin, sex, sexual orientation, gender identity, marital status, age, source of income, or
<br /> physical or mental disabilities, be excluded from participation in, be denied the benefits of or be
<br /> otherwise subjected to discrimination under any program or activity for which A.A.C.G.S receives
<br /> and uses the ARP funds from or through the City.
<br /> Section 10. A.A.C.G.S agrees to comply with Title VI of the Civil Rights Act of 1964;
<br /> Title VII of the Civil Rights Act of 1968; Section 104(b) and Section 109 of the Housing and
<br /> Community Development Act of 1974,as amended; Section 504 of the Rehabilitation Act of 1973;
<br /> the American with Disabilities Act of 1990 as amended and the Age Discrimination Act of 1975
<br /> as amended.
<br /> Section 11. A.A.C.G.S hereby assumes liability for and agrees to protect, hold harmless,
<br /> and indemnify the City, its assigns, officers, employees, directors, agents and servants from and
<br /> against all liabilities, obligations, losses, damages, penalties, judgments, settlements, claims,
<br /> action, suits, proceedings, costs, expenses, and disbursements, including legal fees and expenses
<br /> of whatever kind and nature, imposed on, incurred by or asserted against the City, its assigns,
<br /> officers, employees, directors, agents and servants in any way relating to or arising out of any
<br /> allegations, claims or charges regarding the use of the ARP funds, including but not limited to the
<br /> violation by the A.A.C.G.S of any of its covenants or agreements under this Agreement, any act
<br /> or failure to act done in connection with the performance or operation of A.A.C.G.S's use of ARP
<br /> funds, and any injury to any person, loss of life, or loss or destruction of property in any way
<br /> arising out of or relating to the performance or operation of A.A.C.G.S programs or operations use
<br /> of ARP funds.
<br /> Section 12. Under this agreement,A.A.C.G.S shall act as an independent contractor of the
<br /> City, and shall not bind nor attempt to bind the City to any contract or agreement. As an
<br /> independent contractor, AACGS shall obtain building permits and inspections from the City, as
<br /> needed,though the City may elect to waive some or all of the fees associated with such.
<br /> Section 13. The City shall not be obligated to provide the funds to the A.A.C.G.S until and
<br /> unless AACGS satisfactorily performs all of its obligations under this Agreement and, as the ARP
<br /> funds would necessitate.
