maintain and repair the Tower at its sole cost. ETSB,CIRDC or their agent(s)shall
<br /> restore or replace at their sole cost and expense any pavement, sidewalk, curb,
<br /> gutter,grass,landscaping material,or structure altered or damaged in the course of
<br /> its operation,maintenance and work to the satisfaction of City.
<br /> d. ETSB,CIRDC or their agent(s)shall remove the Tower at its sole cost if and when
<br /> Tower is no longer used by the Parties and shall restore or replace at their sole cost
<br /> and expense any pavement, sidewalk, curb, gutter, grass, landscaping material, or
<br /> structure altered or damaged in the course of its removal to the satisfaction of City.
<br /> 5. Insurance and Indemnity.
<br /> a. CIRDC shall maintain a comprehensive general liability insurance policy at its sole
<br /> expense issued by a company authorized to do business in the State of Illinois. Said
<br /> policy shall name City as an additional insured. Said policy shall protect City
<br /> against liability for loss occurring as a result of bodily injury and property damage
<br /> occasioned by the construction, maintenance, repair, or operation of the Tower
<br /> which is the subject of this Agreement. Said policy shall maintain the following
<br /> minimum coverage:
<br /> i. Each occurrence(bodily injury and property damage): $1,000,000.00
<br /> ii. General Aggregate: $2,000,000.00
<br /> b. ETSB and CIRDC and its agent(s)shall maintain workers compensation insurance
<br /> in the minimum amount required under Illinois law during the construction of the
<br /> Tower.
<br /> c. Upon written request from City, ETSB and CIRDC, and/or its contractors, shall
<br /> provide a certificate of insurance evidencing the above-described insurance
<br /> policies.
<br /> d. ETSB and CIRDC hereby agrees to indemnify,defend,and hold harmless the City,
<br /> its officers, elected official, employees, and insurance carriers, individually and
<br /> collectively, from all losses, claims, suits, judgments, demands, expenses,
<br /> subrogation, attorney's fees, costs or actions of any kind and nature resulting from
<br /> personal injury to any person, including employees of ETSB and CIRDC or any
<br /> contractor or subcontractor employed by ETSB and CIRDC, including bodily
<br /> injury and death,which may result from the construction,maintenance,or repair of
<br /> the Tower as contemplated by this Agreement. ETSB and CIRDC ftuther agrees to
<br /> indemnify,defend,and hold harmless the same parties for damages to any property,
<br /> arising or alleged to have arisen out of the acts or omissions of ETSB and CIRDC,
<br /> its contractors, subcontractors, officers, agents, and employees while exercising
<br /> any rights or privileges granted by this Agreement.The terms and provisions of this
