and payable to City through the date of this Agreement. Said payment shall be made within ten <br /> (10)days of execution of this Agreement. <br /> 4. Easements to City: City shall make written requests to District for easements prior <br /> to the construction of City stormwater sewers, sanitary sewers and water mains on District <br /> property. District shall review all plans, drawings, engineering reports, plats of survey, <br /> construction schedules and other relevant documents prior to granting City's easement request. <br /> District shall not unreasonably deny or delay the granting of an easement to City.District shall not <br /> grant an easement request if the proposed easement impacts District improvements, projects, <br /> infrastructure, facility operations or District event scheduling. District shall not charge City a fee <br /> for granting a permanent or temporary easement under this paragraph. Upon completion of work <br /> by City within the easement property,City shall be solely responsible to restore the premises to its <br /> original condition in a timely manner. District shall determine in its sole discretion whether the <br /> restoration has been performed in a satisfactory and timely manner. <br /> 5. Termination: This Agreement may be terminated by either party upon 180 days' <br /> written notice to the other party. <br /> 6. If any provision or subpart of this Agreement is held to be invalid by <br /> any tribunal of competent jurisdiction, such part shall be deemed automatically adjusted, if <br /> possible. If not, the provision shall be deemed severed from the Agreement, and all other <br /> provisions and subparts shall remain in full force and effect. <br /> 8. Entire agreement. This Agreement constitutes the entire agreement between the <br /> parties relating to the formation of an Intergovernmental Agreement between the City of Decatur <br /> and the Decatur Park District. Any representations promises or statements not set forth in this <br /> Agreement are of no force and effect and have not been relied upon. <br /> 9. Amendment.This Agreement may only be amended by a written instrument signed <br /> by each party hereto. <br /> 10. Transferability. This Agreement shall extend to and be binding upon the parties <br /> hereto and their respective agents and representatives. The terms of this Agreement are non- <br /> transferrable. <br /> 11.
