is not looking to Donor for any additional information with respect to the condition of the Property. <br /> Except as otherwise expressly set forth in this Agreement, none of the representations set forth in this <br /> Agreement shall be deemed to survive the Closing Date,and Donee shall be deemed to have accepted the <br /> Property unconditionally and with any and all(none being so implied)rights to rescind, set aside or avoid <br /> the transactions contemplated hereby waived and relinquished. This Section 2 shall survive the Closing <br /> of the transaction contemplated hereby. <br /> 3. Property Donation <br /> a. Title. Donor shall prepare or cause to be prepared a deed transferring the <br /> Property to Donee,in the form attached hereto as Exhibit B.Donee shall take title to the Property subject <br /> to all matters of record Donor shall be responsible for recording the deed following the Closing. Donor <br /> shall pay for all escrow and closing services through a title insurance company of its choice licensed or <br /> authorized to provide such services in the State of Illinois, and provide Donee at Closing with a <br /> commitment for title insurance in the minimum amount that the title insurance company will issue <br /> coverage. The deed to be delivered at closing shall be a deed in which the Grantor therein grants and <br /> conveys to the Grantee therein only that title to,or interest and rights in, the property granted therein that <br /> the Grantor may have at the time of the grant,and shall contain no warranty, guaranty or indemnification <br /> of any kind, express or implied. Such deed may be known as a Quit Claim Deed. Any reference to the <br /> term"deed"or"quitclaim"herein shall be construed to refer to such form of deed <br /> b. Closing Date. The Closing Date shall occur as soon as practicable on a date <br /> mutually agreeable to Donor and Donee. <br /> C. Real Estate Taxes. The Parties agree that Donor shall only be responsible for <br /> payment of real estate taxes through the Closing Date.Donee shall be responsible for all real estate taxes <br /> and assessments accruing after the Closing Date. <br /> d. Further Assurances. Donee and Donor agree to execute all instruments and <br /> documents and to take all actions reasonably necessary and appropriate to consummate the transfer and <br /> donation of the Property and shall use their best efforts to close in a timely manner. <br /> 4. Donor Name and Siana;ae. If any signs or other public indication of Donor's previous <br /> ownership of the Property should be left in place by Donor after the Closing Date, Donee shall remove <br /> any such signs or other public indications. Donee shall not have any right or authority to use any trade <br /> name, trademark, service mark, insignia, symbol or other identification of Donor in any way associated <br /> with the Property, unless Donor shall have approved such use in writing in advance thereof. The <br /> covenants and agreements contained in this Section shall extend to any and all corporate affiliates, <br /> members, subsidiaries, and parent entities affiliated or associated in any way whatsoever with Donor and <br /> shall survive the Closing Date. <br /> 5. Acknowledgments.Release and Indemnity. <br /> a. Donee's Acknowledgments. DONEE ACKNOWLEDGES THAT DONEE IS <br /> ACCEPTING THE PROPERTY SOLELY IN RELIANCE ON DONEE'S OWN <br /> INVESTIGATION,AND THE PROPERTY IS IN "AS IS,WHERE IS" CONDITION WITH ALL <br /> FAULTS AND DEFECTS, LATENT OR OTHERWISE. DONEE EXPRESSLY <br /> ACKNOWLEDGES THAT, IN CONSIDERATION OF THE AGREEMENT OF DONOR <br /> HEREIN, AND EXCEPT AS OTHERWISE SPECIFIED HEREIN, DONOR MAKES AND HAS <br /> MADE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, OR ARISING <br /> BY OPERATION OF LAW, INCLUDING,BUT NOT LMTED TO,ANY WARRANTY AS TO <br /> -2- <br />
