To the extent permitted by the laws of the State of Illinois,each party shall be solely <br /> responsible for maintaining workers compensation coverage on their employees;and further,each <br /> party shall be solely responsible for any and all workers compensation awards entered as a result of <br /> any employee acting on behalf of their employer herein. <br /> TERM OF AGREEMENT;TERMINATION <br /> This Agreement shall commence on the date set forth in the preamble above and shall <br /> continue in force in perpetuity unless and until it is terminated as set forth below. <br /> At any time during the term of this Agreement,any party shall have the privilege,with or <br /> without cause,to terminate this Agreement;however, such termination will not become effective <br /> until ninety (90) days after the terminating parry provides the non-terminating party with written <br /> notice of such termination. <br /> The Parties understand and agree that any forfeited moneys or proceeds of sales that result <br /> from a Street Crimes Task Force seizure that occurred during the term of this Agreement,or any <br /> extension thereof,shall remain subject to the distribution provisions of this Agreement after any <br /> termination,no matter when such moneys or proceeds of sales are received from the Department of <br /> State Police. This provision shall survive the termination of this Agreement. <br /> INSTRUMENT AS ENTIRE AGREEMENT MODIFICATION <br /> This instrument contains the entire agreement between the Parties,and no statement, <br /> promises or inducements made by any party or agent of any party that are not contained in this <br /> written contract shall be valid or binding. <br /> Any modification of this Agreement or additional obligation assumed by any party in <br /> connection with this Agreement shall be binding only if placed in writing and signed by an <br /> authorized representative of each party. <br /> EFFECT OF PARTIAL INVALIDITY OF AGREEMENT <br /> The invalidity of any portion of this Agreement will not and shall not be deemed to affect <br /> the validity of any other provision. In the event that any provision of this Agreement is held to be <br /> invalid,the Parties agree that the remaining provisions shall be deemed to be in full force and effect <br /> as if they had been executed by all parties subsequent to the expungement of the invalid provision. <br /> [REST OF PAGE LEFT INTENTIONALLY BLANK] <br /> 5 <br />
