3. City Obligations. <br /> A. The City shall permit RCC's current enrolled students with a current valid RCC <br /> ID to use the transit system at all times the transit system is in operation without payment by the <br /> individual RCC student so long as the current valid RCC ID is presented while using the transit <br /> system. <br /> B. City will track and record the number of RCC students presenting a current valid <br /> RCC ID for the term of this Agreement and invoice RCC on a quarterly basis for those students. <br /> 4. Rate. City shall bill RCC for each RCC student utilizing the City's transit system <br /> at the adult rate in effect at the time of use by the student. <br /> 5. RCC Obligations. Upon receipt of an invoice from the City RCC agrees to pay to <br /> the City the amount invoiced within thirty(30) days of date of invoice. <br /> 6. Term. This Agreement shall initially be for the period beginning Mayl,2023 and <br /> terminating June 30,2023 and shall thereafter automatically renew for successive annual terms of <br /> July 1 to June 30 under the terms set forth in this Agreement until and unless terminated as <br /> provided in this Agreement. <br /> 7. Severability. If any provisions or subpart of this Agreement is held to be invalid <br /> by any tribunal of competent jurisdiction, such part shall be deemed automatically adjusted, if <br /> possible. If not, the provision shall be deemed severed from the Agreement, and all other <br /> provisions and subparts shall remain in full force and effect. <br /> 8. Entire Agreement. This Agreement constitutes the entire agreement between the <br /> parties relating to the formation of an Intergovernmental Agreement between the City of Decatur <br /> and the District. Any representations promises or statements not set forth in this Agreement are <br /> of no force and effect and have not been relied upon. <br /> 9. Amendment. This Agreement may only be amended by a written instrument <br /> signed by each party hereto. <br /> 10. Notice. Any written notices required by this Agreement shall be delivered to each <br /> party via first class mail at the following address: <br /> City of Decatur Richland Community College <br /> Attn: City Clerk Attn: President <br /> #1 Gary K. Anderson Plaza 1 College Park <br /> Decatur, IL 62523 Decatur, IL 62521 <br /> 11. Counterparts. This Agreement may be executed in counterparts, and any party <br /> hereto may sign any counterpart. This Agreement shall be effective when each party hereto has <br /> signed a counterpart, and a set of counterparts bearing the signature of each party hereto shall <br /> constitute the Agreement as fully as if all of the parties shall have signed a single document. <br />
