Agreement between parties through December 31, 2024, or an extended termination date if the
<br /> City and CICD otherwise agree in writing.
<br /> Section 4. CICD will be responsible for reviewing, following, and determining all
<br /> applicable federal, State, and local laws, statutes and other regulations relating to the use of
<br /> ARPA funds provided under this Agreement.
<br /> Section 5. The ARPA Funds provided by the City shall only be used by CICD for the
<br /> purposes of and pursuant to and under the terms of this Agreement.
<br /> Section 6. CICD hereby acknowledges and agrees that if it fails to comply with any of
<br /> the provisions of this Agreement or if the Decatur Homebuyer Ecosystem, Counseling, and
<br /> Education Program funds are used for or in any manner contrary to those uses set forth in this
<br /> Agreement, City may, in its sole discretion,terminate this Agreement and, upon written demand
<br /> by the City, CICD will repay to the City the funds used contrary to the terms set forth herein.
<br /> Section 7. Upon request, CICD agrees to provide to the City or its duly authorized
<br /> representatives, access to any books, documents, papers, and records of CICD which pertain to
<br /> the Decatur Homebuyer Ecosystem, Counseling, and Education Program and/or the funds
<br /> provided to CICD for the purpose of monitoring,making audits, examinations, and
<br /> photocopying.
<br /> Section 8. CICD shall be required to maintain all records for the period designated by the
<br /> City as required by the terms of ARPA and any other laws, statutes and other related regulations
<br /> including, but not limited to, financial records setting forth all disbursements under this
<br /> Agreement.
<br /> Section 9. CICD agrees to provide any and all reports which may be required by the City
<br /> for compliance with ARPA, Freedom of Information Act and any other federal or state law,
<br /> statute, or other regulation.
<br /> Section 10. CICD agrees to comply with Title VI of the Civil Rights Act of 1964; Title
<br /> VII of the Civil Rights Act of 1968; Section 104(b) and Section 109 of the Housing and
<br /> Community Development Act of 1974, as amended; Section 504 of the Rehabilitation Act of
<br /> 1973; the American with Disabilities Act of 1990 as amended, and the Age Discrimination Act
<br /> of 1975 as amended.
<br /> Section 11. CICD hereby assumes liability for and agrees to protect, hold harmless, and
<br /> indemnify the City, its assigns, officers, employees, directors, agents and servants from and
<br /> against all liabilities, obligations, losses, damages,penalties,judgments, settlements,claims,
<br /> actions, suits, proceedings, costs, expenses, and disbursements, including legal fees and expenses
<br /> of whatever kind and nature, imposed on, incurred by or asserted against the City,its assigns,
<br /> officers, employees, directors, agents, and servants in any way relating to or arising out of any
<br /> allegations, claims, or charges regarding the use of the ARPA funds by CICD, including but not
<br /> limited to the violation by CICD of any of its covenants or agreements under this Agreement,
