R2024-18 Resolution Authorizing Amendment to the Decatur Area Convention & Visitors Bureau Agreement

AMENDMENT THIS AMENDMENT("Amendment") is made and entered into as of the 16th day of January 2024,by and between the City of Decatur, Illinois, an Illinois municipal corporation ("City") and the Decatur Area Convention&Visitor's Bureau ("DACVB"). WITNESSETH: WHEREAS, City and DACVB entered into a Funding Agreement for FY 2020-2022 ("Agreement") relating to the payment of certain funds to DACVB in consideration of the performance of certain duties by DACVB to City; and, WHEREAS, the Agreement was for the period from January 1, 2020, through December 31, 2022; and, WHEREAS, City and DACVB desire and agree to amend the Agreement to extend the period of time the Agreement is effective; and, WHEREAS, City and DACVB desire and agree that all other terms set forth in the Agreement shall remain in full force and effect. NOW,THEREFORE, in consideration of the mutual covenants and obligations contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties, intending to be legally bound, agree as follows: 1. Section IV TERM is hereby amended to provide, "That this Agreement shall be for the term of an additional three years commencing January 1, 2023 and concluding December 31, 2025. This Agreement may not be altered or amended without prior written consent of both parties hereto." IN WITNESS WHEREOF, the parties hereto have caused this Amendment to be executed in their respective corporate names by their respective officers duly authorized and their respective corporate seals to be affixed and attested by their respective officers having the day and year first above written.
