other RAILROAD property. The CITY shall require its contractors to conduct their <br /> operations at all times in full compliance with the rules, regulations and requirements of the <br /> Special Provisions (Exhibit B), attached hereto and incorporated herein by reference. The <br /> RAILROAD shall have the right to reasonably amend the Special Provisions from time to <br /> time, and in such instances shall provide the CITY with a copy of the Special Provisions so <br /> amended. <br /> 3.3 Both the RAILROAD and the CITY agree that the plans and specifications for the <br /> PROJECT include specification of certain clearances and structures, which are consistent <br /> with current standards, which the RAILROAD would apply to new structures placed on or <br /> over its FACILITIES. Approval by the RAILROAD of the plans and specifications for the <br /> PROJECT shall not be construed as a waiver of the right of the RAILROAD to require <br /> conformance of plans and specification with RAILROAD standards, in the event of future <br /> substantial reconstruction or alteration of the proposed structures that are a part of the <br /> PROJECT. <br /> 4. WORK BY THE RAILROAD AND THE CITY <br /> 4.1 Upon the written request of the CITY,the RAILROAD,within a reasonable time not to delay <br /> construction of the PROJECT, and at the sole cost and expense of the CITY, shall perform <br /> or cause to be performed any or all necessary work, both temporary and permanent, in <br /> connection with the adjustment, construction, reconstruction, relocation or removal of <br /> FACILITIES required by or incidental to the construction of PROJECT, including all <br /> engineering services incident thereto. <br /> 4.2 Any FACILITY work as a result of the PROJECT performed by the RAILROAD shall be <br /> coordinated with the CITY. The RAILROAD and its contractors shall cooperate with the <br /> CITY and its contractors in scheduling and coordinating the RAILROAD'S work so <br /> construction of the PROJECT shall progress as expeditiously as possible with minimal <br /> interference to both RAILROAD and CITY operations. <br /> 4.3 In the event the work to be performed by the CITY is to be let by contract,CITY shall require <br /> its contractor(s), before entering upon the tracks or premises of RAILROAD, or performing <br /> any work on or in close proximity thereof, to secure permission by RAILROAD's Right of <br /> Entry Agreement from the authorized representative of the RAILROAD for the occupancy <br /> and use of its premises and to confer with the RAILROAD <br /> — 4 — <br />
