PROFESSIONAL SERVICES AGREEMENT <br /> THIS AGREEMENT ("Agreement") is made and entered into this 5th day of February, <br /> 2024 by and between HERA PROPERTY REGISTRY, LLC, a Florida Limited Liability <br /> Company with an address at 1900 S. Harbor City Blvd., Ste 211,Melbourne,FL 32901 ("HERA") <br /> and the CITY OF DECATUR, with an address at I Gary K. Anderson Plaza, Decatur, IL 62523 <br /> ("Decatur"). <br /> WITNESSETH: <br /> I. SCOPE OF REPRESENTATION <br /> I. Decatur is retaining HERA to represent Decatur in providing property registration <br /> services for Decatur's foreclosure and vacant property registration ordinance, to be enacted, <br /> Registration"At Risk"Properties (the"Ordinance"). <br /> 2. As is further set forth herein, Decatur hereby authorizes HERA to represent <br /> Decatur's interests in providing a property registration service pursuant to the Ordinance. <br /> IL DUTIES OF HERA <br /> Ordinance Registration Services <br /> I. HERA shall provide an online foreclosure and vacant property registration service <br /> for Decatur pursuant to the Ordinance. <br /> 2. HERA shall monitor mortgage defaults and other property registration triggers <br /> under the Ordinance and shall send notice to the mortgagee or other responsible party of a duty to <br /> register the property. <br /> 3. Collections made by HERA will be deposited immediately into a separate trust <br /> account maintained in a federally insured bank. <br /> 4. All registration fees collected by HERA shall be remitted to Decatur, less HERA's <br /> collection costs,by the Fifteenth(15th)day of each month,for all monies collected for the previous <br /> Page I of 8 <br />
