Page 1 of 2 AMENDMENT NUMBER 4 to the Management and Professional Services Agreement between the City of Decatur,Illinois and Everside Health, LLC This Amendment Number 4 (the "Amendment") is made and entered into as of the date last signed, by and between the City of Decatur, Illinois ("Client"), and Everside Health, LLC ("Everside").Everside and Client may be referred to each individually as a"Party",or collectively, the "Parties". WHEREAS, Everside and Client, or their respective assignors, executed a Management and Professional Services Agreement (as amended, the "Agreement") dated March 1, 2021, pursuant to which Client engaged Everside to provide health clinic and wellness program services for Client's health plan participants; and WHEREAS, the Parties wish to amend the Agreement to reflect adjusted staffing and associated fees. THEREFORE, for good and valuable consideration the receipt and sufficiency of which is hereby acknowledged, the Parties agree to amend the Agreement as set forth below: 1. Medical Team. Effective on the date that a third medical assistant is hired to staff the Everside Clinic, Section 1.7 of the Agreement shall be amended to state as follows: 1.7. "Medical Team" means the one (1) part-time physician, one (1) part- time advanced practice provider, and three (3) full-time medical assistants contracted to staff the Everside Clinic, and future additions to the staff of the Everside Clinic that may subsequently be hired. Everside shall be responsible for the selecting and retaining of the physicians and non- physician practitioners. 2. Monthly Services Fee. Effective beginning on the date that a full Medical Team as described in Section 1 above is in place, Section 5.2(a)shall be amended to state as follows: a. Monthly Services Fee. Subject to the terms of this Section 5.2, Client shall pay to Everside a fee of$44.70 per month per each Member (the "Monthly Fee"). 3. Miscellaneous. This Amendment is made under and incorporates the terms and conditions of the Agreement. Except as specifically set forth in this Amendment, the terms and conditions of the Agreement will remain in full force and effect.
