Binding Effect.All provisions,covenants, and agreements herein shall be binding upon and inure <br /> to the benefit of, and be enforceable by or against,the parties hereto and their respective <br /> successors and assigns. <br /> 5. Third-Party Beneficiary.This Agreement is solely for the benefit of the parties hereto and their <br /> respective successors and assigns, and no other person has any right, benefit, priority, or interest <br /> under or because of the existence of this Agreement. <br /> 6. No Waiver. Except as explicitly set forth herein, nothing contained herein shall be deemed or <br /> construed to modify,waive, impair or affect any of the covenants,agreements,terms, provisions <br /> or conditions contained in the Assigned Agreement. <br /> 7. Authority. Each party to this Agreement, and each individual signing on behalf of each party, <br /> hereby represents and warrants to the other that it has full power and authority to enter into <br /> this Agreement and that its execution, delivery, and performance of this Agreement has been <br /> fully authorized and approved,and that no further approvals or consents are required to bind <br /> such party. <br /> 8. Electronic Signatures.An electronic signature or electronic record of this Amendment or any <br /> other ancillary agreement shall be deemed to have the same legal effect as delivery of an <br /> original executed copy of this Amendment or such other ancillary agreement for all purposes. <br /> 9. Counterparts.This Consent may be executed in any number of counterparts, each of which shall <br /> be deemed an original, but all of which when taken together shall constitute but one and the <br /> same instrument. <br /> 10. Capitalized Terms.All initial capitalized terms not otherwise defined in this Consent shall have <br /> the meanings set forth in the Assigned Agreement. <br /> 11. Further Assurances.The Contracting Party hereby agrees to execute and deliver all such <br /> instruments and take all such action as may be necessary to effectuate fully the purposes of this <br /> Consent. <br /> 12. Entire Agreement.This Consent and any agreement, document or instrument attached hereto or <br /> referred to herein integrate all the terms and conditions mentioned herein or incidental hereto <br /> and supersede all oral negotiations and prior writings in respect to the subject matter hereof. In <br /> the event of any conflict between the terms, conditions and provisions of this Consent and any <br /> such agreement, document or instrument,the terms, conditions and provisions of this Consent <br /> shall prevail. <br /> [Signature page follows] <br />
