OFFICE OF THE CITY MANAGER
DATE: November 18,2024
TO: Mayor Julie Moore Wolfe and City Council Members
FROM: Tim Gleason, City Manager
Jon Kindseth,Deputy City Manager
SUBJECT: Resolutions Authorizing a Third Amendment to the IGA with the Decatur
Civic Center and Authorizing the Sale of the Civic Center Solar Project to Green Bridge.
RECOMMENDATION: It is recommended by staff that these two items be approved
as presented.
BACKGROUND: In 2022,the city and the Civic Center allowed for a behind the meter
solar project to be built on the Civic Center parking lot for our shared use. The Contractor
selected for this project was Hawk-Attollo. The 2nd amendment with the Civic Center
specifically authorized this contractor to build and own the solar project. Additionally, the
City Power Purchase Agreement (PPA) is between Hawk-Attollo and the City. Any
transfer of ownership of the solar project requires approval of both governing bodies.
Hawk-Attollo has almost completed the Civic Center solar parking canopy project which
includes more than 2500 solar panels on six separate canopies. The cost to build and
develop the project cost more than$3.5 million for the contractor and they desire the ability
to sell the project and assign the PPA to another company. This will allow the contractor
to free up this capital to be able to undertake the next two projects (Library and William
Street Pump Station)that the city staff is recommending awarding to Hawk-Attollo.
Our energy consultant CQI and city staff have conducted our due diligence on the proposed
buyer of the system, and we believe Green Bridge to be a strong financial partner capable
of this type of project ownership and PPA administration. Staff recommends and believes
as transfer of ownership to Green Bridge is in the best interest of the city and the Civic
Center. All other terms and conditions of the PPA will remain unchanged with the transfer
of ownership. Additional information about Green Bridge Corporation is attached.
POTENTIAL OBJECTIONS: Staff is not aware of objections.
INPUT FROM OTHER SOURCES: CQI&Associates &Decatur Civic Center staff.
STAFF REFERENCE: Should the City Council have any questions, they may contact
Jon Kindseth, who will also be at the City Council meeting.
