THIRD AMENDMENT TO <br /> INTERGOVERNMENTAL COOPERATION AGREEMENT WITH DECATUR <br /> METROPOLITAN EXPOSITIION,AUDITORIUM AND OFFICE BUILDING <br /> AUTHORITY REGARDING SOLAR CANOPY <br /> This Third Amendment to the Intergovernmental Cooperation Agreement, dated as of <br /> November 22, 2024 (this "Third Amendment"), is made and entered into by and between the <br /> City of Decatur, Illinois, an Illinois municipal corporation ("City") and the Decatur Metropolitan <br /> Exposition, Auditorium and Office Building Authority, an Illinois unit of local government <br /> commonly referred to as the Decatur Civic Center Authority ("Authority"), wherein the parties <br /> listed above stipulate as follows: <br /> WHEREAS, the City and Authority entered into an Intergovernmental Cooperation <br /> Agreement, dated as of November 24, 1980 ("IGA") for the purpose of describing the use and <br /> occupancy by the City of that portion of the Authority's facilities as described in said IGA <br /> designated as an office building to be used by the City as a municipal office building, including <br /> the use and occupancy of the parking lot areas; <br /> WHEREAS, the City and Authority entered into a First Amendment to the Agreement on <br /> February 19, 2013 ("First Amendment") for the primary purpose of providing parking pursuant <br /> to a redevelopment agreement between the City and a nearby business; <br /> WHEREAS, the City and Authority entered into a Second Amendment to the Agreement <br /> on November 17, 2022 ("Second Amendment") for the primary purpose of providing for the <br /> construction, occupancy, placement, modifications, alterations and additions to the Authority's <br /> parking areas for the solar project; <br /> WHEREAS, pursuant to the IGA, First Amendment and Second Amendment, the City <br /> leases a significant portion of the parking areas of Authority; <br /> WHEREAS, the City and Authority use a significant amount of energy for their <br /> respective operations on Authority property; <br /> WHEREAS, the City has entered into that certain Power Purchase Agreement, dated as <br /> of November 14, 2022 ("PPA"), with Hawk-Attollo LLC ("Hawk") for the construction of a <br /> solar canopy project ("Project") on Authority's parking areas in an effort to reduce energy costs <br /> for the City and Authority; <br /> WHEREAS, the Project will require construction, occupancy, placement, modifications, <br /> alterations and additions to the Authority's parking areas; <br /> WHEREAS, the City has entered or shall enter into that certain Consent to Assignment <br /> Agreement ("Consent"), with Hawk and Green Bridge Energy 207 LLC, a Delaware limited <br /> liability company ("Seller"), to allow Hawk to assign to Seller all of its right, title, and interest <br /> in, to and under the PPA pursuant to an assignment agreement to be entered into by and between <br /> Hawk and Seller in order to facilitate the construction, development and financing of the Project; <br /> and <br />
