GUARANTEE <br /> The Contractor shall guarantee the work performed for a period not less than 1 year from <br /> the date of final acceptance by the City and Owner of all work set forth in Exhibit A and <br /> provide maintenance information to the Owner. In addition, Contractor shall furnish to <br /> Owner all manufacturer and suppliers' written guarantees and warranties covering mate- <br /> rials and equipment furnished under this Agreement. <br /> 9. INTEREST OF CERTAIN OFFICIALS <br /> No officer, employee, or member of the governing body of the City who exercises any <br /> functions or responsibilities in connection with the carrying out of the project to which <br /> this Agreement pertains, shall have any private interest, director or indirect, in the Agree- <br /> ment. <br /> 10. FEDERAL, STATE AND LOCAL REGUALTIONS <br /> The Contractor shall be required to abide by and be in compliance with all applicable fed- <br /> eral, state, and local regulations, including equal employment opportunity requirements <br /> as set forth in Exhibit B attached hereto. Contractor must perform and comply with all <br /> City codes and ordinances. <br /> 11. NOTICE TO PROCEED <br /> The initiation of any rehabilitation work covered by an Agreement is subject to the issu- <br /> ance of a Notice to Proceed signed by the Contractor and the City. The notice to proceed <br /> will be given after the 3-day Notice of Right to Cancel has expired, if not submitted by <br /> Owner. <br /> Contractor must begin the specified work within 10 calendar days after the issuance of a <br /> duly executed notice to proceed and must satisfactorily complete the rehabilitation activi- <br /> ties within thirty(30)days after the issuance of a Notice to Proceed. <br /> 12. PAYMENT <br /> The partial or final payments due to the Contractor will be paid after the City receives the <br /> contractor's invoice,passed inspection reports, and all required lien waivers. 10% will be <br /> withheld from each partial payment.
