EXHIBIT <br /> I <br /> AGREEMENT BETWEEN CITY OF DECATUR,ILLINOIS <br /> AND LOVE LEARNING AND LAUGHTER DAYCARE <br /> This Agreement("Agreement")is made and entered into between the City of Decatur, <br /> Illinois, an Illinois home rule municipal corporation("City")and Love Learning and Laughter <br /> Daycare, an Illinois limited liability company("LLLD"), for and in consideration of the mutual <br /> covenants and promises and good and valuable consideration contained herein. <br /> WHEREAS,The City is a municipal corporation as set forth in the Illinois Municipal <br /> Code,65 ILCS 5/1-1-1,et. seq.; and, <br /> WHEREAS,The City is a home rule unit under Article VU Section 6(a)of the Illinois <br /> Constitution [IL Const. 1970,Art.VII, Sec. 6(a)]; and, <br /> WHEREAS,the City Code of the City provides in Chapter 33 that the City may dispose <br /> of property as the Council authorizes or approves; and, <br /> WHEREAS,the City has determined that additional childcare options are needed in the <br /> urban core based on a workforce development systems assessment,strategy, and implementation <br /> roadmap; and, <br /> WHEREAS,LLLD has been a State of Illinois Licensed childcare provider since <br /> January 24,2019; and, <br /> WHEREAS,the City wishes to assist LLLD in providing childcare services by providing <br /> a building for such childcare; and, <br /> WHEREAS,the City owns the property and facility located at 1170 Orchard Street, <br /> Decatur, IL, ("Property")formerly known and operating as Wee Folks which was a childcare <br /> facility; and, <br /> WHEREAS,the City desires to transfer the Property to LLLD and LLLD desires to <br /> purchase the Property under the terms and conditions as set forth in this Agreement. <br /> NOW,THEREFORE,in consideration of the foregoing recitals,the mutual promises <br /> and covenants hereinafter set forth, and for good and valuable consideration,the receipt, <br /> sufficiency and adequacy of which are hereby acknowledged,the parties agree as follows: <br /> Section 1.The foregoing recitals are incorporated herein as fully stated as a part of this <br /> Agreement. <br /> Section 2. That upon the City making as many repairs as possible with a maximum cost <br /> to the City of Four Hundred Thousand Dollars($400,000), set forth in Ex. A, attached hereto <br /> and incorporated by reference,the City agrees to sell,and LLLD agrees to purchase at the price <br /> of Ten Dollars ($10.00)the Property situated in Decatur,Macon County,Illinois and legally <br /> described as follows: <br /> ADDRESS:1170 Orchard St. <br /> 1 <br />
