Section 8. LLLD shall be entitled to possession of the Property immediately after <br /> Closing Date. <br /> Section 9. As an express condition of this Agreement and in consideration of the City <br /> entering into this Agreement,LLLD must do each of the following no later than two(2)years <br /> following Closing Date("Opening Date"): <br /> A. Rehabilitate the Property and make the repairs as set forth in Ex.B attached <br /> hereto and incorporated by reference in accordance with all applicable federal, <br /> state, and city laws,ordinances, codes and regulations, and <br /> B. Receive all required licenses and permits from the State of Illinois and any <br /> other agencies necessary to operate a licensed childcare facility providing <br /> childcare in the State of Illinois at the Property, and <br /> C. Open and operate a childcare facility providing one(1)eight(8)hour shift <br /> allowing for childcare with staffing and employment as required by and in <br /> compliance with applicable rules and regulations of the State of Illinois and <br /> any other agency's licenses and permits for a minimum of fifty-one weeks <br /> every year. <br /> D. Operate a childcare facility in compliance with this Agreement allowing for <br /> childcare for one hundred seventy(170) children no later than one(1)year <br /> following the Opening Date,subject to applicable capacity rules and <br /> regulations of the State of Illinois and any other agency's licenses and <br /> permits. <br /> E. Operate a childcare facility in compliance with this Agreement allowing for <br /> childcare for five hundred(500)children no later than two(2)years <br /> following the Opening Date, subject to applicable capacity rules and <br /> regulations of the State of Illinois and any other agency's licenses and <br /> permits. <br /> F. Operate a childcare facility in compliance with this Agreement providing <br /> three(3)eight(8)hour shifts allowing for childcare for a minimum of fifty- <br /> one weeks every year no later than two(2)years following the Opening Date. <br /> Section 10. As an express condition of this Agreement and in consideration of the City <br /> entering into this Agreement,LLLD must improve the Landscaping on the Property no later than <br /> one(1)year following Opening Date. <br /> Section 11. City shall be entitled to inspect the interior and exterior of the Property,upon <br /> request,to ensure rehabilitation progress and determine compliance with all applicable federal, <br /> state, and city laws, ordinances,codes and regulations prior to the Opening Date. <br /> Section 12. If LLLD fails to comply with any condition set forth in Section 8 or Section <br /> 9 above,LLLD will deliver to City a Warranty Deed to the Property upon demand by the City <br /> and further agrees to satisfy and indemnify City for any and all liens placed on Property <br /> following Closing Date. <br /> Section 13. If LLLD fails to operate a childcare facility in compliance with this <br /> Agreement after the Opening Date until a date seven(7)years following Opening Date, LLLD <br /> 3 <br />
