3. the Bond Purchase Agreement; <br /> 4. the Preliminary Official Statement; and <br /> WHEREAS, in accordance with Section 147(f) of the Internal Revenue Code of 1986, as <br /> amended (the "Code"), following reasonable notice to the public describing the Tax-Exempt <br /> Bonds, identifying the party to whom the Tax-Exempt Bond proceeds are being lent, <br /> identifying the use of the Tax-Exempt Bond proceeds and specifying the maximum amount of <br /> Tax-Exempt Bond to be issued by the City and loaned to the University, the City Council held a <br /> public hearing on the date hereof at which all taxpayers, residents or other interested persons <br /> were given an opportunity to express their views for or against the proposed issuance of the <br /> Tax-Exempt Bonds, and the City Clerk has caused a notice of public hearing with respect to the <br /> plan to issue the Tax-Exempt Bonds to be published in The Herald and Review on March 7, <br /> 2026, a newspaper of general circulation in the City(the "Hearing Notice"); and <br /> NOW, THEREFORE, Be It Ordained by the City Council of the City of Decatur, Macon <br /> County, Illinois, in the exercise of its home rule powers, as follows: <br /> Section 1. Exercise of Home Rule Powers. That the City is a home rule unit under <br /> the provisions of the 1970 Constitution of Illinois, and as a home rule unit may, under the <br /> powers granted by Section 6(a) of Article VII thereof, "exercise any power and perform any <br /> function pertaining to its government and affairs." This Ordinance is adopted pursuant to <br /> the City's home rule powers, any provisions contained in the Illinois Municipal Code to the <br /> contrary notwithstanding. <br /> Section 2. Findings. That the issuance of the Bonds to accomplish the Financing <br /> Purposes will promote the general health and welfare of the residents of the City and <br /> surrounding areas. <br /> Section 3. TEFRA Approval. That the City Council does hereby authorize and <br /> approve the issuance of the Tax-Exempt Bonds, subject to Section 8 hereof, in order to <br /> accomplish the Financing Purposes, as described above and in the aforesaid Hearing Notice <br /> which is hereby incorporated by reference, which approval shall be considered the public <br /> approval required by Section 147(f) of the Code. <br /> Section 4. Loan Agreement. That the City is hereby authorized to enter into the Loan <br /> Agreement with the University; that the form, terms and provisions of the Loan Agreement <br /> (including the forms of the Notes set forth therein) be, and they hereby are, in all respects <br /> approved; that the Mayor of the City be, and hereby is, authorized, empowered and directed to <br /> execute, and the City Clerk be, and hereby is, authorized, empowered and directed to attest and <br /> to affix the official seal of the City to, the Loan Agreement in the name, for and on behalf of the <br /> City, and thereupon to cause the Loan Agreement to be delivered to the University, such Loan <br /> Agreement (as executed) to provide for the loan of the proceeds of the Bonds to the University <br /> and the use of such proceeds for the Financing Purposes in the manner and with the effect therein <br /> provided, such Loan Agreement (including the forms of Notes set forth therein) to be in <br /> substantially the same form now before the City Council or with such changes and revisions <br /> therein as the officer executing the Loan Agreement on behalf of the City shall approve, her <br /> -3- <br />
