EXHIBIT A A. The City shall permit Lindsey Life members to utilize the paratransit system,otherwise known as Operation Uplift, during its hours of operation,to go to or from Lindsey Life Adult Day Center located at 1685 S. Franklin Street Rd, Decatur, IL 62521 subject to the rates and billing terms set forth herein. B. City will track and record the first name,last name, and number of times Lindsey Life members are transported to or from Lindsey Life located at 1685 S. Franklin St Rd.,Decatur, IL 62521 for the term of this Agreement and invoice Lindsey Life monthly for those members. 4. Rate. City shall bill Lindsey Life for each one-way ride for which a Lindsey Life member utilizes the City's transit system at the adult rate in effect at the time of use by the member. 5. Invoice Timing.City shall invoice Lindsey life by the 10th day of a given month for transportation services provided in the previous month. 6. Invoice Submission. City shall submit invoices to Lindsey Life via e-mail in PDF format to clarklindsey(i?mystampi.com. Hard copy invoices can be mailed via USPS to the Attention of Accounts Payable, 101 W. Windsor Rd, Urbana IL, 61802 7. Lindsey Life Obligations. Upon receipt of an invoice from the City, Lindsey Life agrees to pay the City the amount invoiced within thirty(30 days of date of invoice. 8. Term. This Agreement shall initially be for the period beginning April 1, 2026, and terminating March 31, 2027, and shall thereafter automatically renew for successive annual terms of April 1 to under the terms set forth in this Agreement until and unless terminated as provided in this Agreement. 9. Severability. If any provisions or subpart of this Agreement is held to be invalid by any tribunal of competent jurisdiction, such part shall be deemed automatically adjusted, if possible. If not, the provision shall be deemed severed from the Agreement,and all other provisions and subparts shall remain in full force and effect. 10.Entire Agreement. This Agreement constitutes the entire agreement between the parties relating to the formation of an Agreement between the City of Decatur and Lindsey Life. Any representations promises or statements not set forth in this Agreement are of no force and effect and have not been relied upon.
