Warranty. Seller guarantees that during the term of the PPA the System will generate the <br /> guaranteed kilowatt-hours (kWh) ("Guaranteed kWh") of energy to Purchaser set forth as <br /> follows: <br /> A. Seller guarantees that the System will produce 90%of the Guaranteed kWh in the <br /> baseline Contract Year 1 with an annual adjustment of the Annual System <br /> Degradation Factor of 1%for all subsequent Contract Years. <br /> B. Commencing on the second anniversary of the Commercial Operation Date, if at <br /> the end of each successive thirty-six (36) month anniversary thereof, the <br /> cumulative Actual kWh generated by the System is less than the Guaranteed <br /> kWh, then the Seller will send Purchaser a refund check equal to the difference <br /> between the average cost of electricity per kWh shown on the User's electric <br /> utility bill for the Contract Year for each kWh of such Production Shortfall and the <br /> Electricity Price.
