obligation, covenant, representation or warranty of ADM set forth in this Agreement. <br /> The City shall save and hold ADM and its directors, officers, employees, attorneys, <br /> representatives and agents from any and all claims, suits, and judgments, including <br /> litigation expenses and attorneys' fees, relating in any way to the authority, propriety or <br /> appropriateness of the City executing or performing this Agreement or as a result of the <br /> breach of any obligation, covenant, representation or warranty of the City set forth in <br /> this Agreement. <br /> 15. Notices. All notices in connection with this Agreement shall be served <br /> when mailed by certified mail, postage prepaid, on the City to City Manager, City of <br /> Decatur, #1 Gary K. Anderson Plaza, Decatur, Illinois 62523-1196, with a copy to <br /> Corporation Counsel at the same address; and on ADM to President, Archer-Daniels- <br /> Midland Company, 4666 Faries Parkway, Decatur, Illinois 62526, with a copy to General <br /> Counsel, at the same address. <br /> 16. Assignments and Applicable Law. This Agreement shall inure to the <br /> benefit of and be binding upon the successors, transferees and assigns of the City and <br /> upon the successors, transferees and assigns of ADM, and each of them. However, <br /> this Agreement shall not be assignable by either party without the prior written consent <br /> of the other party. This Agreement shall be deemed to be an Illinois contract and any <br /> matter concerning the Agreement shall be determined by Illinois law. <br /> 17. Invalidity.
