AGREEMENT for VENDING MACHINE OPERATOR This Agreement is made between the City of Decatur, Illinois (hereinafter called"City"), and the Illinois Business Enterprise Program for the Blind (hereinafter called"Contractor"). The City and the Contractor in consideration of the mutual covenants contained herein, and for valuable considerations exchanged between the parties hereto,hereby agree as follows: 1. GENERAL TERMS The City hereby grants the exclusive rights to operate vending machines offering food and beverage items on the City's Decatur Public Transit System properties to the Contractor for the duration of this Agreement. The Contractor hereby agrees to provide vending machines and to maintain and stock those machines, as per the specific terms of this Agreement, for the duration of this Agreement. 2. AGREEMENT DURATION This Agreement shall be in full force and effect for a period of five(5) years, starting at 12:01 a.m. (CST) on July 1, 2014 and ending at 11:59 p.m. (CST) on June 30, 2019, unless otherwise lawfully terminated under the provisions of this Agreement. 3. SCOPE The Contractor shall serve the following functions: • provide and install vending machines in locations designated by the City; • keep the vending machines in proper working order; • stock the vending machines and keep them well supplied with food and beverage items; • control the products and brands sold by the vending machines; • control the prices of items sold by the vending machines; • arrange for reimbursements to patrons filing claims; • provide the City with monthly sales statements; and • other services which may from time to time be required to fulfill the intent of this Agreement. - 1 -
