TIRE LEASE AGREEMENT THIS Agreement, made in Akron, Ohio, this 1st day of July, 2014, by and between BRIDGESTONE AMERICAS TIRE OPERATIONS, LLC, a Delaware Limited Liability Company, with its principal offices at 535 Marriott Drive, Nashville, Tennessee 37214, with the administrative contract office at 10 E. Firestone Blvd. - Mileage Sales, Akron, OH 44317 ("Bridgestone") and the CITY OF DECATUR, ILLINOIS, a municipal corporation in the state of Illinois, having offices in Decatur, Illinois ("City"). WITNESSETH: 1. TIRES--Bridgestone agrees to lease to the City and the City agrees to lease from Bridgestone and use such number of tires as may be sufficient to keep all of the City's twenty-two (22) transit coaches and two (2) trolley replica coaches, and any other transit coaches and/or trolley replica coaches that use the same size and type tires as the transit coaches and trolley replica coaches owned by the City as of the date hereof and that may be owned or operated by the City, its subsidiaries and affiliated companies at any time during the term of this Agreement, fully equipped and to provide an adequate reserve supply; provided, however, that the City shall have the right at any time during the term of this Agreement, upon thirty (30) days' prior written notice to Bridgestone, to equip for testing purposes up to five percent (5%) of its fleet of transit coaches and trolley replica coaches with tires obtained from other suppliers. The City warrants that it outright owns the twenty-two (22) transit coaches and two (2) trolley replica coaches referenced above. As used in this Agreement, "tires" shall mean a casing, tube and flap for a tube type tire and a casing, only, for a tubeless tire, and "vehicles" shall mean, unless otherwise indicated, the twenty-two (22) transit coaches and two (2) trolley replica coaches now owned and operated by the City, and any other transit coaches and/or trolley replica coaches that use the same size and type tires as the transit coaches and trolley replica coaches owned by the City as of the date hereof and that may be owned or operated by the City, its subsidiaries and affiliated companies at any time during the term of this Agreement. Bridgestone shall deliver tires within thirty (30) days of the City's written order. All tires shall be delivered to the City at 555 East Wood Street, Decatur, Illinois, between the hours of 8:00 A.M. and 4:00 P.M. (Central time), Monday through Friday, except for legal holidays. All tires shall be delivered in new or first class condition, ready to be used. The City shall accept the tires and assume responsibility for each tire only after it has been delivered and inspected. If a tire is found to be damaged or is otherwise not in first class condition, the City reserves the right to reject the tire and ask that the tire be removed from the property. Bridgestone shall be responsible for proper disposal of its leased tires. Rims or wheels shall be the property of the City and extra rims or wheels shall be provided by the City.
