27. APPLICABLE LAW <br /> Subject to Federal Law requirements found in Appendix A, all work done pursuant to this <br /> Agreement shall be controlled and governed by the laws of the State of Illinois and any <br /> actions related to this Agreement must be filed in a Federal court in the State of Illinois <br /> capable of hearing the case. <br /> 28. REQUIRED CLAUSES <br /> Appendix A, "REQUIRED CLAUSES", contains language required to be included in any <br /> subcontract arising from this Agreement. CONTRACTOR or any subcontractor shall insert <br /> in any subcontract the clauses set forth in Appendix A - "REQUIRED CLAUSES", along <br /> with their related attachments, plus a clause requiring the subcontractor to include these <br /> clauses and related attachments in any lower tier subcontracts. The clauses shall not be <br /> modified except to identify the subcontractor who will be subject to the provision. <br /> CONTRACTOR shall be responsible for compliance by any subcontractor or lower tier <br /> subcontractor with these required clauses. <br /> 29. POLICY AND PROCEDURE MANUAL <br /> CONTRACTOR and its SUB-CORPORATION shall at all times keep all of their employees <br /> informed of all applicable CITY rules and regulations, and policies and procedures, <br /> pertaining to the Transit System as contained in the Decatur Public Transit System <br /> Administrative Policy&Procedure Manual(dated January 1, 1996 and amended from time <br /> to time) which shall be made a part of this Agreement by reference. <br /> 30. ENTIRE AGREEMENT <br /> This Agreement, including Appendix A and all attachments hereto, constitutes the entire <br /> Agreement between the parties, with respect to the subject matter, and supersedes any <br /> previous understandings,representations, commitments or agreements,oral or written. No <br /> provision of this Agreement may be waived except in writing, signed by the party waiving <br /> 16 <br />
