R02o I -29 <br /> LIME SLUDGE RENEWAL AGREEMENT <br /> a ( This LIME SLUDGE RENEWAL AGREEMENT(Renewal Agreement), made and entered into this <br /> day of (-hqe I I- , 2014, by and between the City of Decatur, Illinois(City), and Evergreen <br /> FS, Inc. (FS), collectively"the parties",WITNESSETH: <br /> WHEREAS,there is in effect between the Parties a certain LIME SLUDGE AGREEMENT for lime <br /> sludge removal services, and: <br /> WHEREAS, both Parties desire to renew the said LIME SLUDGE AGREEMENT(including <br /> accompanying contract documents described in Paragraph 3 below) <br /> WHEREAS, Paragraph 32 of the TERMS AND CONDITIONS of the said LIME SLUDGE AGREEMENT <br /> provides for a single year renewal of said agreement provided both parties agree thereto in writing, and; <br /> WHEREAS, for the term of this Renewal Agreement, the Parties agree to and accept the terms <br /> and conditions set forth in the said LIME SLUDGE AGREEMENT, in their entirety. <br /> WHEREAS, FS continues to have the knowledge, experience, local farm knowledge, and <br /> capability to provide lime sludge removal services for the City,and; <br /> WHEREAS,the Parties agree the price term described in Paragraph E of the BIDDER'S PROPOSAL <br /> for Year 5 of the original LIME SLUDGE AGREEMENT(25,000 dry tons x$28.50/ton), shall be the price <br /> term for sludge removal for the duration of this Renewal Agreement. <br /> NOW THEREFORE, the City and FS agree as follows: <br /> 1. The provisions of the LIME SLUDGE AGREEMENT entered March 19, 2007 between the parties <br /> are hereby renewed, effective March 19, 2014,for a period of twelve (12) months. <br /> 2. The price term described in Paragraph E of the BIDDER'S PROPOSAL for Year 5, (25,000 dry tons <br /> x$28.50/ton), shall be the price term for sludge removal for the duration of this Renewal <br /> Agreement. <br /> 3. The provisions of the said LIME SLUDGE AGREEMENT,the City's INVITATION TO BID, including <br /> NOTICE TO BIDDERS,TERMS AND CONDITIONS, SPECIAL PROVISIONS, BIDDER'S PROPOSAL(as <br /> completed and signed by FS), BID SIGNATURE PAGE, NON-COLLUSION AFFIDAVIT OF PRIME <br /> BIDDER, and EQUAL EMPLOYMENT OPPORTUNITY EXHIBIT A are incorporated into and made a <br /> part of this Renewal Agreement as if fully set forth herein. <br /> 4.
