2. The City shall have the right to modify, without the consent of the Taxi Company, the Operation Uplift guidelines, operational requirements, cash fares to be collected by the Taxi Company, and such other conditions of this Agreement as may be required by changing circumstances, without placing an unreasonable burden on the Taxi Company. 3. This Agreement may not be assigned without the prior written concurrence of the City. TERMINATION This Agreement may be terminated under the following conditions: 1. This Agreement shall automatically and immediately terminate if the franchise or the license of the Taxi Company to operate in the City is terminated or revoked. 2. The City reserves the right to terminate this Agreement prior to the time specified herein if there is a reduction or loss of federal or state funding that supports Operation Uplift. 3. The City reserves the right to terminate this Agreement prior to the time specified herein for convenience or for default, breach or cause, as specified in the "Termination" section of the Federal Clauses in Appendix A. EQUAL EMPLOYMENT OPPORTUNITY The Taxi Company shall comply with all applicable Equal Employment Opportunity laws and regulations. In connection with this Agreement, the Taxi Company shall not discriminate against any employee or applicant for employment because of race,religion, color, sex, national origin or disability. The Taxi Company shall take affirmative action to ensure that qualified and approved applicants are employed, and that employees are treated during employment without regard to their race, religion, color, sex, or national origin. Such action will include,but not be limited to the following: employment, upgrading, demotion, recruitment advertising, layoff, transfer, or termination,rates of pay or other compensation, and selection fbr training, including apprenticeship. The Taxi Company shall also notify any and all suppliers or subcontractors of his obligations under this Agreement related to this provision. In the event of the Taxi Company's non-compliance liance with an provisions of this Equal Employ- ment p Y ment Opportunity Clause, the Illinois Human Rights Act Rules and Regulations of the Illinois Department of Human Rights ("Department"),the Taxi Company may be declared ineligible for future contracts or subcontracts with the State of Illinois or any of its political subdivisions or municipal corporations, and this Agreement may be canceled or voided in whole or in part, and such other sanctions or penalties may be imposed or remedies invoked as provided by statute or regulation. During the performance of this Agreement, the Taxi Company agrees as follows: 1) That it will not discriminate against any employee or applicant for employment because of race, color, religion, sex, national origin, ancestry, age,physical or mental handicap unrelated to ability, or an unfavorable discharge from military service; and - 10 -
