the Second Supplemental Bond Indenture, the officials, agents and emplo ees of the City are
<br /> hereby authorized, empowered and directed to do all such acts and things and to execute all such
<br /> documents as may be necessary to carry out and comply with the provisions of the Second
<br /> Supplemental Bond Indenture as executed.
<br /> Section 3. That the form, terms and provisions of the proposed Second Amendment
<br /> to Tax Exemption Agreement be, and they hereby are, in all respects approved, and that the
<br /> Mayor of the City be, and he hereby is, authorized, empowered and directed to execute,
<br /> acknowledge and deliver the Second Amendment to Tax Exemption Agreement in the name and
<br /> on behalf of the City; that the Second Amendment to Tax Exemption Agreement is to be in
<br /> substantially the form of such Second Amendment to Tax Exemption Agreement now before this
<br /> meeting and hereby approved, or with such changes therein as shall be app�oved by the Mayor,
<br /> the execution thereof to constitute conclusive evidence of his approval and this Council's
<br /> approval of any and all changes or revisions therein from the form of the Second Amendment to
<br /> Tax Exemption Agreement now before this meeting; and that from and aftor the execution and
<br /> delivery of the Second Amendment to Tax Exemption Agreement, the officials, agents and
<br /> employees of the City are hereby authorized, empowered and directed to do all such acts and
<br /> things and to execute all such documents as may be necessary to carry outd comply with the
<br /> provisions of the Second Amendment to Tax Exemption Agreement as exec ed.
<br /> Section 4. That the Series 2010 Obligations shall be reregistered, as set forth in the
<br /> table below, in such form as is approved by the officials of the City executing the Second
<br /> Supplemental Bond Indenture (the "Reregistered Series 2010 Obligations"),iwith such execution
<br /> to constitute conclusive evidence of such officials' and this Council's approval of the respective
<br /> form of the Reregistered Series 2010 Obligations.

<br /> Section 5. That the Mayor and the Clerk of the City be, and they hereby are,
<br /> authorized, empowered and directed to cause the Series 2010 Bonds to b reregistered, as set
<br /> forth in the table in Section 5 hereof, and prepared in such form and havin the other terms and
<br /> provisions specified in the Second Supplemental Bond Indenture as executed and delivered (the
<br /> "Reregistered Series 2010 Bonds"), that the Reregistered Series 2010 Bonds shall be executed in
<br /> the name of the City with the facsimile or manual signatures of the Mayor Viand the Clerk of the
<br /> City, and the seal of the City may be affixed thereto or imprinted thereon, and that the Mayor or
<br /> the Clerk of the City shall cause the Reregistered Series 2010 Bonds, as so e Kecuted and attested,
<br /> to be delivered to the Bond Trustee for authentication, and the Bond Trustee is hereby requested
<br /> to authenticate the Reregistered Series 2010 Bonds and deliver them to or as directed by the
<br /> Purchasers; and that such Reregistered Series 2010 Bonds, and the interest md premium, if any,
<br /> payable thereon, are special and limited obligations of the City payable solely from payments on
<br /> the Reregistered Series 2010 Obligations and from certain other moneys hgld under the Second
