(2.) The Contractor agrees that the City may use, at no charge, apy empty advertising frames which are available from time to time for the purpose of promoting the City's transit system, and in such event, the City shall furnish and insta) such advertising signs at the City's expense. 8. TERMINATION OF AGREEMENT A. Termination for Cause - Either party to this Agreement has the right to terminate this Agreement at any time in the event that the other party has failed to com�ly fully with the terms and conditions contained herein. The party wishing to terminate shall deliver written notice of its intent to terminate at least 30 days prior to the actual date of termination. B. Termination for Convenience- This Agreement may be terminated b�the City, in the event that the City's transit operations change significantly from their pr6sent state, in either the number or the type of vehicles used to transport the general public. Any such termination shall be effected by delivery to the Contractor of a written notice of intent to terminate specifying the extent to which performance of work under the Contract io terminated, and the date upon which such termination becomes effective. Such notice of termination shall be delivered to the Contractor at least 120 days prior to the effective date of such termination. 9. ASSIGNMENT AND/OR SUBCONTRACTING Assignment of any portion of the work under this Agreement must be appro�ed in writing in advance by the City. A listing of all subcontractors, if any, and the portion�f the services that they will provide must be submitted with the proposal. If subcontractors area listed, this does not relieve the Contractor from any prime responsibility of complete and acceptable performance. The Contractor shall not enter into any subcontracts or agreements, or start any work by the work forces of a subcontractor, with respect to this Agreement, without the prior Written concurrence of the City. All such subcontracts, agreements, and force work shall be handled as prescribed for third-party contracts, agreements and force-account work by the Illinois Department of Transportation(IDOT)manual for Public Transportation Capital Improvem$nt Grants. All requests for concurrence shall be submitted to the City for approval. 10. RECORDS The Contractor shall maintain and retain all books, records, documents and gther material which relate to the completion of this Agreement, and shall undertake such accounting procedures and practices as may be deemed necessary to assure proper accounting of all advertising contracts and billings, and payments to the City. These records shall be subject at all reasonable times of the normal business'I day to inspection,review, or audit by the authorized representative(s) of the City, the Illinois State Auditor, the U.S. Department of Transportation, or other governmental officials authorized by law to monitor this Agreement, from the date of the Agreement through and until the expiration of three (3) years after the completion of the Agreement. - 5 -
