HOMEFIELD <br /> E N E R G Y <br /> DD. "Term"is defined in Section&A of this Agreement. <br /> EE. "Terms and Conditions"is defined in Section 5.13 of this Agreement. <br /> ARTICLE 3:TERM <br /> A. Term of Agreement. This Agreement commences on the date first written above, <br /> provided however, the supply service to Aggregation Members shall not commence until the <br /> Utility's confirmation of Member enrollment with Homefield and shall continue through the <br /> (month) Tune, 20t6 billing cycle, unless the Utility's BGS-1 default rate is less than the Retail <br /> Power Price. Should the Utility's BGS-1 default rate be less than the Retail Power Price, then <br /> Aggregator shall notify Homefield of its Intent to either continue service from Homefield at the <br /> Retail Power Price; terminate the Agreement; or request that Homefield present an alternate <br /> proposal to ensure that Aggregation Members are charged the lower of the Retail Power Price or <br /> the Utility's BGS-1 default rate. Calculation of the Utility's BGS-1 default rate shall be in <br /> accordance with Paragraph Homefieid shall have the right to decline to accept a request for a <br /> lower price equal to or lesser than the Utilities BGS-1 default rate. To the extent this contract i <br /> succeeds an earlier aggregation program agreement with Homefield, this contract shall not <br /> commence until such time as the term of the preceding agreement has expired. <br /> B. Comparison of Retail Power PrIge to Utility's BGS-1 default rate. The calculation of <br /> the Utility's BGS-1 default rate shall utilize the annually weighted average of the BGS-1 supply <br /> rates across all Utility rate zones; the cost of transmission service applicable to customers taking <br /> service under the Utility's BGS-1 tariff; and the charges related to the Utility's annual f <br /> procurement of capacity and energy (supply cost adjustments). The comparison calculation will <br /> exclude from the Utility's BGS default rate any charges or credits associated with the Utility's true <br /> up of its supply costs (purchased electricity adjustment); and will exclude from the Retail Power <br /> Price the costs for additional renewable energy contracted for by the Aggregator above the <br /> applicable State of Illinois requirements; and any additional fees charged to Aggregation <br /> Members and remitted to the Aggregator or the Aggregation Consultant. <br /> C. Extension. Aggregator and Homefield may extend the Term of this Agreement for <br /> additional periods of time by written mutual agreement approved and executed by each of them <br /> (each an "Extended Term"). Any such extension may, among other things, provide for an <br /> opportunity to refresh the price. Any price modification in an Extended Term shall require <br /> Homefield issuance of a new opt-out notice for the Extended Term to all Aggregation Members. <br /> Nothing in this Article related to the Term, or the possibility of agreement to an Extended Term, <br /> may be construed or applied in any manner to create any expectation that any right or authority <br /> related to this Agreement granted Aggregator to Homefield shall continue beyond the Term or an <br /> approved Extended Term. <br /> D. Notification. In the event Aggregator decides either (a) the Aggregation Program will <br /> terminate upon expiration, or (b) that that it would like to renew the Aggregation Program, but <br /> with an alternative retail electric supplier other than Homefield, then Aggregator must provide <br /> notice to Homefield at least 90 days prior to the first expiration date with any Aggregation <br /> Member who has completed the (month)Zr"e. 2016 billing cycle. In the event Notification <br /> is not received in a timely manner, the Parties will negotiate an extension for a price no later than <br /> 4 <br />
