AMENDED AND RESTATED <br /> RAW WATER SUPPLY AGREEMENT <br /> THIS AMENDED AND RESTATED RAW WATER AGREEMENT (this <br /> "Agreement") is made and entered into as of the 46(p day of March, 2013, by and <br /> between the CITY OF DECATUR, an Illinois municipal corporation located in the County <br /> of Macon, Illinois (hereinafter sometimes called the "City") and ARCHER-DANIELS- <br /> MIDLAND COMPANY, a Delaware corporation (hereinafter sometimes called "ADM"), <br /> WITNESSETH: <br /> WHEREAS, the City and ADM have previously entered into (i) an Agreement <br /> ("Acquisition Agreement") dated January 4, 1999, under which the City sold and <br /> conveyed to ADM the City's water intake and treatment facility commonly referred to as <br /> the City's "North Plant" and (ii) a Raw Water Supply Agreement dated November 8, <br /> 2001 (which is being amended and restated in this Agreement); and <br /> WHEREAS, ADM is desirous of continuing to purchase from the City and the City <br /> is willing to continue to sell to ADM, a raw water supply from Lake Decatur, which the <br /> City owns, for all of the North Plant requirements upon its acquisition by ADM. <br /> NOW, THEREFORE, for and in consideration of the mutual covenants <br /> hereinafter contained, and for other good and valuable consideration, the receipt of <br /> which hereby is acknowledged, the parties hereto agree as follows: <br /> 1.
