12. PURCHASING OF VEHICLES, EQUIPMENT AND SUPPLIES CONTRACTOR shall advise the CITY from time to time regarding the types,quantities and amounts of materials,supplies,tools and equipment,including vehicles,needed for use in the administration, operation or maintenance of the Transit System. Such purchases shall be made pursuant to the CITY's purchasing policies and procedures. The Transit System shall have full access to Corporate Purchasing Agreements available through CONTRACTOR. 13. AUDIT AND INSPECTION OF RECORDS CONTRACTOR shall permit the authorized representatives of the CITY, the State of Illinois,the Federal Transit Administration and the U.S. Comptroller General to inspect and audit all data and records of CONTRACTOR relating to its performance under the Agreement,and to copy or reproduce by any means whatsoever excerpts and transcriptions as reasonably needed. The CITY shall retain ownership of all plans,specifications, and related documents. CONTRACTOR agrees to maintain all books, records, accounts and reports required under this Agreement for a period of not less than three (3) years after the date of termination or expiration of this Agreement,except in the event of litigation or settlement of claims arising from the performance of this Agreement, in which case CONTRACTOR agrees to maintain same until all interested parties have disposed of all such litigation, appeals, claims or exceptions related thereto. BUDGETS AND PROJECTIONS; FARES AND SCHEDULES CONTRACTOR agrees to prepare or assist in the preparation of the necessary annual budgets and projections, as well as monthly financial and operating statements, as are required by the CITY. CONTRACTOR also agrees to furnish periodic reports and recommendations as are required by the CITY relating to service extensions,route planning, service policies,fares, and other matters relating to the operation of the Transit System. 9
