G. SUBCONTRACTOR SUPERVISION: <br /> 1. establishment and direction of proper procedures to be utilized in all areas for the <br /> proper performance of duties, and compliance with all applicable state and federal <br /> laws and regulations <br /> 2. inspection and oversight of subcontractors (i.e. taxicab companies) providing <br /> service for the disabled to ensure: <br /> a) quality of service provided, vehicle condition, driver qualifications, etc. <br /> b) accuracy of information reported to DPTS, including billing requests <br /> c) compliance with all state and federal requirements, such as drug and alcohol <br /> testing programs, vehicle inspections, and driver training. <br /> At the request of the CITY, under separate contract and for an additional fee, <br /> CONTRACTOR shall supply"Special Project"assistance. "Special Projects"include but are <br /> not limited to, on-site bus construction inspecting, services to monitor bus driver <br /> performance, comprehensive transit system operational analysis and planning, or any other <br /> special programs requested of CONTRACTOR during the term of this Agreement. Special <br /> Projects are not within the scope of the day-to-day management services provided for herein. <br /> For each Special Project,the parties shall mutually agree upon the cost,the work task plan, <br /> special project budget, and the special project tracking/reporting plan. <br /> 4. COMMENCEMENT AND TERM <br /> The Effective Date of this Agreement is July 1,2009,regardless of the date of execution,and <br /> the Agreement shall continue for a term of three(3)years from the Effective Date,ending at <br /> 11:59 p.m. (Central Time) on June 30, 2012. This Agreement may be extended at the sole <br /> discretion of the CITY for two (2) additional one (1) year terms (option years). The first <br /> option year shall begin on July 1, 2012 and end on June 30, 2013; the second option year <br /> shall begin on July 1, 2013 and end on June 30, 2014. This Agreement shall be <br /> automatically extended unless the CITY gives CONTRACTOR sixty(60)days written notice <br /> before expiration of the original or subsequent terms of the CITY's desire to terminate the <br /> contract. <br /> 4 <br />
