D. CONTRACTOR may also furnish, upon mutual agreement of the parties and for an <br /> additional fee,additional resident management personnel. The terms of employment <br /> for such personnel shall be the same as for the General Manager, as specified in this <br /> Agreement. <br /> E. The CITY may,by adoption of a resolution, elect to become the employer of all the <br /> employees covered by the SUB-CORPORATION not including CONTRACTOR's <br /> resident management personnel . In the event that such resolution is adopted and <br /> such employees thereby become public employees of the CITY, CONTRACTOR <br /> shall continue to manage the Transit System and provide all of the services specified <br /> in this Agreement,but the CITY shall assume all of the contractual obligations of the <br /> SUB-CORPORATION including those of the Collective Bargaining Agreement <br /> between the SUB-CORPORATION and the maintenance and operations personnel of <br /> the Transit System. <br /> F. The CITY agrees, for period of one 1 year following the expiration or sooner <br /> b'r � p ( ) Y g p <br /> termination of this Agreement, not to solicit, nor to hire as an employee, nor to <br /> engage in any capacity whatsoever, any employees of CONTRACTOR or its <br /> subsidiaries, including the subsidiary named in this Agreement, if any. The phrase <br /> "in any capacity whatsoever" includes, but is not limited to, hiring another transit <br /> management company that proposes to employ or employs any of CONTRACTOR's <br /> resident management personnel. <br /> 6. ADVISORY AND TECHNICAL ASSISTANCE <br /> CONTRACTOR shall furnish a minimum of eighty (80) hours advisory and technical <br /> assistance each year, at the Transit System or elsewhere, as may be reasonably required to <br /> assist the General Manager in the management of the Transit System at no additional cost. <br /> Travel and living expenses associated with this assistance shall be at the expense of <br /> 6 <br />
