' H <br /> AGREEMENT <br /> This Agreement made by and among the CITY OF DECATUR, ILLINOIS ("CITY") and <br /> the ECONOMIC DEVELOPMENT CORPORATION OF DECATUR & MACON COUNTY ("EDC"). <br /> WHEREAS, by Ordinance No. 82-122, as amended, the CITY has established an Enterprise <br /> Zone (the "Zone"), in accordance with 20 ILCS 655/1 et seq. (the Illinois Enterprise Zone Act, <br /> the "Act") and as approved by the Illinois Department of Commerce and Economic <br /> Opportunity; and, <br /> WHEREAS, the CITY wishes to update the previously defined process for the <br /> administration of the Zone, and the EDC is willing to assist the CITY in that effort. <br /> NOW, THEREFORE, the CITY and EDC agree as follows: <br /> 1. The Board of Directors of the EDC shall be designated as the Enterprise Zone <br /> Advisory Board, and shall have the following duties and responsibilities: <br /> (a) establish, monitor and update goals and objectives for the zone; <br /> (b) develop and implement a marketing program to inform businesses <br /> about the Zone and its benefits; <br /> (c) coordinate Zone activities with various other planning, <br /> economic development and community development entities in the area; <br /> and <br /> (d) provide direction and assistance to the Enterprise Zone <br /> Administrator in the performance of his duties. <br /> 2. Members of the Enterprise Zone Advisory Board shall serve without compensation, <br /> and are neither employees nor agents of the CITY and are without authority to make <br /> agreements or commitments on behalf of the CITY. <br /> 3. The CEO/President of the EDC will serve as the designated Enterprise Zone <br /> Administrator for the Decatur Macon County Enterprise Zone. <br /> 4. This agreement may be terminated by any party hereto, with respect to any other <br /> party hereto, by the service on said other party of a notice of termination. Such notice must be <br /> in writing and shall be effective fourteen (14) days after service on such other party. Said notice <br /> shall be considered served when personally delivered to the office of the City Clerk and <br /> addressed to said officer (for the CITY) or to the office of the President of the EDC and addressed <br /> to said officer (for the EDC) or shall be considered served on the date of mailing to such other <br /> party, postage prepaid, at the following addresses: <br /> City of Decatur <br /> City Manager <br /> One Gary K.
