- 3 - Park will provide City with quarterly reports of all income and disbursements. SECTION 5: INSURANCE AND INDEMNITY City and Park will maintain extended coverage insurance on the improvements and facilities and general liability insurance in an amount agreed upon by City and Park. Each party shall be listed as an additional insured on the other party's insurance policies. Park shall indemnify and hold harmless City and City's council members, staff, employees and agents from any claims for death, personal injury or property damage arising in any manner from acts or omissions to act pertaining in any way to the obligations imposed on Park by this agreement. City shall indemnify and hold harmless Park and Park's commissioners, staff, employees and agents from any claims for death, personal injury or property damage arising in any manner from acts or omissions to act pertaining in any way to the obligations imposed on City by this agreement. SECTION 6: ASSIGNMENT The parties agree that they may not and will not assign their interest or responsibilities under this agreement without the express written consent of the other party. Y• SECTION 7: LIENS AND ENCUMBRANCES Neither City nor Park shall allow any lien or encumbrance to be placed against the land, improvements or facilities of Part A. SECTION 8: CITY BUILDING CODES Construction of Part A improvements and facilities shall be in compliance with the Building Codes of the City of Decatur.
